Corporate Diversification: What Gets Discounted?   总被引:11,自引:0,他引:11  
Prior literature finds that diversified firms sell at a discount relative to the sum of the imputed values of their business segments. We explore this documented discount and argue that it stems from risk–reducing effects of corporate diversification. Consistent with this risk–reduction hypothesis, we find that (a) shareholder losses in diversification are a function of firm leverage, (b) all equity firms do not exhibit a diversification discount, and (c) using book values of debt to compute excess value creates a downward bias for diversified firms. Overall, the results indicate that diversification is insignificantly related to excess firm value.  相似文献

We examine shareholding surrounding Swedish rights offerings using detailed information on the ownership in firms. We analyze shareholding levels and their changes for domestic and foreign institutional investors. As institutional holdings change, domestic institutions increase their holdings more than foreign institutions. Our examination of low and high buying activities by institutional investors surrounding rights offerings shows no stock picking ability, thus not supporting the “smart-money hypothesis” (Gibson et al., 2004). We also find that investor domicile influences firm value following the offering. Overall, foreign investors exhibit a strong and opposite directional reaction to adverse selection costs than domestic investors.  相似文献

Ongoing regulatory reforms have led to several novel spectrum sharing models under the general umbrella of dynamic spectrum sharing. The private commons model introduced by FCC in 2004 allows spectrum licensees to provide secondary access to spectrum on an opportunistic basis while retaining ownership. Since wireless communication systems are typically overprovisioned in order to deliver service-level guarantees to (primary) users under short-term load variations, this model bears significant potential by facilitating utilization of temporal and spatial surplus of capacity through serving secondary users at possibly different service levels. A potential barrier to adoption of the private commons model is the uncertainty about secondary price–demand relationship which is difficult to predict in an emerging market: A selected price for secondary access may be profitable for some values of secondary demand but not for others, leading to a profound uncertainty about ultimate benefit of spectrum sharing. This paper aims to eliminate such an uncertainty by devising concrete guidelines and methods for profitability. The paper establishes that the price of secondary spectrum access can be chosen to guarantee profitability for any value of secondary demand: It is shown that for both the coordinated and uncoordinated commons regimes a profitable price should exceed a threshold value, which can be calculated. Hence profitability of private commons is insensitive to the demand function. This observation has two complementary interpretations: From a business perspective it provides a constructive approach to profitability; and from a regulatory perspective it provides reassurance that private commons is a healthy model. The paper also leverages the insensitivity property and outlines a technique to further enhance revenue via iterative spectrum offerings.  相似文献

This paper shows that these characteristics make the labor market for researchers unstable in the sense that firms have incentives to continuously change the composition of their research teams. Throughout the twentieth century governments have been spendingever larger proportions of national income. Three issues arisein discussions about the growth of such spending as it pertainsto developing countries: How does it compare with expenditurein industrial nations? What explains the growth in spendingby developing country governments? And what are the effectson economic growth? Government expenditure as a share of GDPin low- and middle-income countries, on average, is lower thancomparable shares in industrial market economies and, with fewexceptions, is growing. Many factors, including ideology, demographics,a positive income elasticity for public goods, the rising costof public goods relative to private goods, and perhaps developmenttheory and practice, explain this growth. As for the relationshipbetween government expenditure and economic growth, the empiricalevidence does not reveal any strong correlation. The size ofgovernment may engender strong ideological debate, but the positionthat the aggregate level of government expenditure is a significantdeterminant of growth rates receives little support.   相似文献

This paper investigates the market reaction to recent legislative and regulatory actions pertaining to corporate governance. The managerial power view of governance suggests that executive pay, the existing process of proxy access, and various governance provisions [e.g., staggered boards and Chief Executive Officer (CEO)-chairman duality] are associated with managerial rent extraction. This perspective predicts that broad government actions that reduce executive pay, increase proxy access, and ban such governance provisions are value-enhancing. In contrast, another view of governance suggests that observed governance choices are the result of value-maximizing contracts between shareholders and management. This perspective predicts that broad government actions that regulate such governance choices are value destroying. Consistent with the latter view, we find that the abnormal returns to recent events relating to corporate governance regulations are, on average, decreasing in CEO pay, decreasing in the number of large blockholders, decreasing in the ease by which small institutional investors can access the proxy process, and decreasing in the presence of a staggered board.  相似文献
