Building on recent research in social psychology, this paper analyzes the link between the precision of initial cash offers and mergers and acquisition (M&A) outcomes. About one‐half of the offers are made at the precision of one or five dollars per share, while an additional one‐third are made at the precision of a half dollar or one quarter. The practice of making offers at round price‐per‐share levels is associated with a higher purchase price for target shares and a lower probability of deal completion.  相似文献

This paper investigates the potential disadvantages of the secondary markets for executive stock options (ESOs). The benefits of such markets are evident, but they might also have negative effects for shareholders. Executives might, for example, use inside information to time their ESO selling. We investigate two personal motives of managers that can be assumed to affect their optimal selling decision, that is, managers' personal portfolio management issues and the use of inside information. We explore these motives by analyzing unique data from Finland, where there are secondary markets for ESOs. The results of the study support the traditional portfolio diversification hypothesis according to which managers tend to sell their ESOs when holding an ESO is equivalent to holding the underlying stock; that is, in such a case a manager's wealth is closely tied to the stock price of the firm. With respect to the use of inside information the results indicate that ESO selling activity is not related to future stock price behaviour, suggesting that managers do not use inside information to determine the selling time of their ESOs. These results imply that the existence of secondary markets for ESOs does not weaken the usefulness of ESOs as the management compensation, although the benefits of such markets are evident.  相似文献

This paper investigates the relative importance of scheduled U.S. macroeconomic news releases for stock valuation. The study focuses on 11 macroeconomic announcements selected on the basis of the previous literature and the Bureau of Labor Statistics classifications of major economic indicators. The paper shows that five out of the 11 announcements have significant influence on stock valuation. These are the Employment Report, NAPM (manufacturing), Producer Price Index, Import and Export Price Indices, and Employment Cost Index. Of these six announcements, the Employment Report and NAPM (manufacturing) exert the greatest influence. The time of the announcement, measured by days from the beginning of the month to the release day, has a moderating impact on the relationship between macroeconomic announcements and its importance.  相似文献

In this conceptual paper, we discuss from the service systems perspective how accountabilities differ from a hierarchic and organisational perspective within the domain of New Public Management, looking to shed new light upon accountability as a research topic. The concept of service systems and their accountabilities are scrutinised and the role of integrated social and health care services is discussed in particular. The main argument in the text is the changing nature of accountabilities as the public organisations are being transformed into service systems. To date, the understanding of accountability has remained structural by nature – such is the case also for productivity measurement – but the shift from organisations towards services systems means that accountability ought to be considered as processual by nature. By processual it is meant that accountability should be considered as flows within systems – that is: flows between agents the content of which we argue includes not only knowledge on the outputs of public services, but also values, empathy and thus multi‐layered understanding of accountability. The paper concludes with practical insights for managerial purposes on the basis for this accountability shift.  相似文献

The phenomenon of key supply management (KSM) in business companies is far less investigated than the phenomenon of key account management (KAM) which beneficiates, both in practice and in an academic context, from a growing interest. This article is based on the empirical analysis of a sample of 10 international companies which have recently launched KSM programmes or are currently working on launching such programs. It examines the difficulties these companies come up against when implementing such programmes and proposes to organize these difficulties around three dimensions: 1) the difficulties in implementing real supplier portfolio approaches; 2) the narrow view of value co-creation with suppliers, and 3) the persistent lack of integration of the purchasing function with other internal functions within the company. The conclusion of the article is that KSM is far from being a mere symmetric phenomenon of KAM. Several implications are then discussed in relation to the implementation of KSM programmes within companies.  相似文献

This paper explores the readability of a new and non-corporate narrative area, accountants’ communications with small business. The distinctive motivations, agendas and interests of small business managers are considered. The findings are informed by rationales from Shearer's (2002) thesis on the influence of neoclassical economics on accounting discourse. The study finds low readability accentuated by potentially low reader interest with accounting documents composed according to conventional accounting's rules and statutory requirements. Higher readability and document content which informs small business managers’ interests is evident when accountants are not compelled to author documents with reference to these professional rules and legislation.  相似文献

Recent research has emphasised that an increasing number of enterprises need computation environments for executing HPC (High Performance Computing) applications. Rather than paying the cost of ownership and possess physical, fixed capacity clusters, enterprises can reserve or rent resources for undertaking the required tasks. With the emergence of new computation paradigms such as cloud computing it has become possible to solve a wider range of problems due to their capability to handle and process massive amounts of data. On the other hand, given the pressing regulatory requirement to reduce the carbon footprint of our built environment, significant researching efforts have been recently directed towards simulation-based building energy optimisation with the overall objective of reducing energy consumption. Energy optimisation in buildings represents a class of problems that requires significant computation resources and generally is a time consuming process especially when undertaken with building simulation software, such as EnergyPlus. In this paper we present how a HPC based cloud model can be efficiently used for running and deploying EnergyPlus simulation-based optimisation in order to fulfil a number of objectives related to energy consumption. We describe and evaluate the establishment of such an application-based environment, and consider a cost perspective to determine the efficiency over several cases we explore. This study identifies the following contributions: (i) a comprehensive examination of issues relevant to the HPC community, including performance, cost, user perspectives and range of user activities, (ii) a comparison of two different execution environments such as HTCondor and CometCloud and determine their effectiveness in supporting simulation-based optimisation and (iii) a detailed performance analysis to locate the limiting factors of these execution environments.  相似文献

ABSTRACT

Using new technologies in customer interactions is a popular way of trying to increase customer engagement. It is, however, unknown how such efforts by marketers’ affect engagement, and particularly to what that engagement relates to. By analysing interview and observation data, the engagement manifestations of customers of a B2B company using virtual-reality technology were studied. The results show that customer engagement can be targeted at not only brands or firms but also the service the firm offers or the technology that enables the service. It is argued that the different objects of engagement can coexist and support each other but engagement with the firm is less susceptible to fluctuations. Marketers should be aware of what triggers customer engagement and what it is targeted at.  相似文献

Lebanon is a complex country of extraordinary promise; often thrust into crisis, including recent military assaults, terrorist attacks and bombings. The authors share findings from a longitudinal field-study of the evolving political and business climate of Lebanon, emphasizing a particular MNC that is thriving amidst social, ideological and political conflicts. A synthesis of primary and secondary data revealed the InterContinental Phoenicia hotel as a model institution in the face of extreme crisis. Key managerial insights that can be helpful to investors, MNCs and managers in the Middle East and other places subjected to similarly extreme conditions are shared.  相似文献

Pervasive information and communication technology (ICT), intertwined with global dispersion of supply chains, is inducing a sizable structural transformation. All the articles in this special issue highlight that even though technology is the key driver, the reactions of businesses and countries to these transformations will depend on economic, political, and social arrangements within each organization and society. The competitive landscape of the ICT industry itself is likely to remain in flux. Also in other industries, both value creation and value capture are becoming increasingly complex—and remain more favorable for the developed countries than some commonly used measures suggest. According to the prevailing economic thinking, public policies should set market-friendly “rules of the game” and then stay out of the way. In the ICT domain, technical standards, spectrum allocations, and market power associated with various types of lock-ins play crucial roles calling for more active public involvement. In particular, the dynamic aspects of competition and anti-trust policies are important yet complex. While there is limited scope for sectoral or horizontal industrial policies, this special issue provides alternative avenues for considering matrix or systemic policies emphasizing education, openness, and national competitiveness.  相似文献
