Using a sample of dual-class firms matched with single-class firms possessing similar antitakeover protection, we find a positive association between disproportionate insider control and patent output, quality, creativity, research and development efficiency, and chief executive officer innovative risk taking. We also find, however, that the positive effects of disproportionate control on innovation are concentrated in financially constrained firms and firms in highly competitive industries, and that the positive effects dissipate within 10 years after the initial public offering. Most important, the positive effect of dual-class structures for innovation is conditional on the presence of innovative insiders in the firm. These findings imply that entrenchment through concentrated control in the hands of uniquely innovative corporate insiders provides a positive environment for innovativeness beyond the entrenchment effects of alternative antitakeover measures.  相似文献

This study draws on strategic factor market theory and argues that acquirers' decisions regarding whether to bid for a firm reflect their expectations about employee departure from the firm post‐acquisition, suggesting a negative relationship between the anticipated employee departure from a firm and the likelihood of the firm becoming an acquisition target. Using a natural experiment and a difference‐in‐differences approach, we find causal evidence that constraints on employee mobility raise the likelihood of a firm becoming an acquisition target. The causal effect is stronger when a firm employs more knowledge workers in its workforce and when it faces greater in‐state competition; by contrast, the effect is weaker when a firm is protected by a stronger intellectual property regime that mitigates the consequences of employee mobility. The convergent product is an increasingly important phenomenon in the marketplace. The convergent product allows the developer to include more and more diverse functionalities into their products, which can satisfy a broad range of consumer needs. However, failures of convergent products arouse the need to understand its functionalities, and the optimal combination of functionalities and their relationships to attitude and purchase intention. In addition, because convergent product has the potential to offer more diverse functionality, we consider if this will have impacts on instrumental and emotional needs fulfillment and attitude and purchase intention. Additionally, consumer innovativeness was examined to ascertain if there were differences among consumers on their classification of the functionalities, or if it will moderate functional diversity, needs fulfillment, and product attitude. Using the Kano model, this study examined the nature of these relationships by examining the functionalities of a smartphone. Overall, our results show that the convergent products that include functionalities from two of the three categories of the Kano model, must‐have and attractive, were rated more positively. Consumer innovativeness differences were found. Consumers with high innovativeness considered must‐have and one‐dimensional functionalities the most important, and consumers with low innovativeness considered all three important, although one‐dimensional functionalities were considered significantly less important. Although increasing functional diversity positively raises product attitude and purchase intention, it tends to raise emotional needs fulfillment only once instrumental needs have been met, especially for respondents showing low innovativeness. The findings should arouse interest about factors that should not be overlooked when developing new convergent products.  相似文献

This is one of the first large-scale studies to examine the voluntary disclosure practices of foreign firms cross-listed in the United States. We proxy for voluntary disclosure using three attributes of firms’ management earnings guidance: (1) the likelihood of issuance; (2) the frequency of earnings guidance; and (3) a guidance quality measure. After first establishing that market participants view these firms’ disclosures as credible and economically important (i.e., the disclosures are negatively related to analyst forecast errors and the implied cost of equity capital), we compare cross-listed firms’ disclosure practices with comparable US firms and explore variations in disclosure practices among cross-listed firms. We find that cross-listed firms issue less frequent and lower quality management earnings guidance than comparable US firms. We further show that the gap between US and cross-listed firms widened after passage of Regulation FD, a regulation which induced greater public disclosure of firm-specific information. Focusing on the sample of cross-listing firms, we show that firms from common-law countries disclose more than firms from code-law countries. Finally, our results indicate that cross-listed firms that do not list on an organized US exchange provide more frequent and higher quality disclosure than those that do list on organized exchanges.  相似文献

The integration of R&D and marketing in new product development (NPD) is an important contributor to NPD performance. Of the mechanisms developed to aid functional integration, many have been developed in western cultural environments and may not have applicability in other national cultural settings. Using a sample of NPD workgroup personnel in New Zealand (NZ), the western cultural environment, and Singapore, quantitative and qualitative data have been used to measure national culture and determine the applicability of different organization integration mechanisms. Results show key differences between the two samples, indicating a link between formalization, centralization, role flexibility and interfunctional climate mechanisms with the Hofstede dimensions of Power Distance, Masculinity and Uncertainty Avoidance of national culture. Managerial implications are that national cultural values and settings of the respondents are important when determining best integration mechanisms.  相似文献

Asia Pacific offers a lot of promising growth opportunities, but it also presents high levels of uncertainty for multinational enterprises (MNEs). In this paper, we introduce real options theory as a theory of investment under uncertainty, and we discuss its implications for MNEs and their strategies with a focus on the emerging economies in Asia Pacific. We suggest that MNEs must recognize the various sources of uncertainty, as well as the various options embedded in their investments, and real options theory can help them structure and design their investments to benefit from uncertainty. In particular, MNEs need to develop the dynamic capabilities of managing real options in their investments to respond to the evolving economic and institutional environment in the region. This paper also provides several implications for policy makers in Asia Pacific to stimulate investment activities in the region and to help their firms venture successfully in the international market place.

Tony W. Tong   is an Assistant Professor of Strategic Management at the Leeds School of Business at the University of Colorado. He obtained his Ph.D. from The Ohio State University. His current research applies real options theory to study firms’ corporate development activities and growth initiatives. His research in these areas has been published or accepted in journals such as the Academy of Management Journal, the Journal of International Business Studies, and Organization Science. Jing Li   is an Assistant Professor of International Business at the Faculty of Business Administration at Simon Fraser University, Canada. Her research focuses on alliance activities in China, capability building of Chinese firms, and applications of real options theory to international strategy.
