The effect of reference point prices on mergers and acquisitions

Prior stock price peaks of targets affect several aspects of merger and acquisition activity. Offer prices are biased toward recent peak prices although they are economically unremarkable. An offer's probability of acceptance jumps discontinuously when it exceeds a peak price. Conversely, bidder shareholders react more negatively as the offer price is influenced upward toward a peak. Merger waves occur when high returns on the market and likely targets make it easier for bidders to offer a peak price. Parties thus appear to use recent peaks as reference points or anchors to simplify the complex tasks of valuation and negotiation.     

The Role of Cognitive Development and Socialization in the Initial Development of Team Loyalty

Using Piaget's (1970) theory of cognitive development, the present study examines when children first begin to demonstrate team loyalty. An interview and testing protocol was administered to children aged 5-6 and 8-9. Preoperational, transitional, and concrete operational children were capable of demonstrating a psychological commitment to a favorite team that was resistant to change, but not the behavioral consistency indicative of loyalty. The current study demonstrates that children form preferences for sports teams early in life and that they are capable of forming a commitment to a sports team as young as age 5. The present study is one of the first efforts to include a transitional phase in the assessment of cognitive development. Results from the interviews showed that fathers were the most influential socializing agent relative to introducing children to sports teams and that the gender stereotype associating sports with males was prevalent among children in both age groups.     

Consumer value and self-image congruency at different stages of timeshare ownership

An understanding of customers’ perceptions of value is fundamental to the competitive nature of all industries. Using the timeshare resort sector as a context for our studies, we explore the ways in which consumers, grouped according to their timeshare ownership stage, perceive value. Data were collected from three samples: non-owners of timeshare, recent purchasers of timeshare, and longer-term timeshare owners. Value was shown to be multi-dimensional, with a stable pattern of eleven correlated value factors evident in all three samples. The groups differed in their assessments of the different dimensions of value. In all groups, however, value was positively correlated with attitudes and future intentions regarding timeshare. Self-image congruency explained additional criterion variance. The findings demonstrate that, even among consumers who have never used timeshare, value and self-image congruency are substantial and unique predictors of attitudes and intentions regarding this tourism product.     

Online R&D management: the way forward

The development of an intranet system in BT delivered far greater savings in 1996 than was originally estimated. BT decided to look at the advantages of online R&D management processes. Various features of the evolving system are described, including the proposal submission system or project requirements document, and tools and techniques to manage a global virtual laboratory.     

A Reconsideration of Consolidation Accounting Requirements and Pre‐acquisition Dividends

This article considers the consolidation accounting consequences of the International Accounting Standards Board's decision to replace the cost method of accounting for investments in subsidiaries with a new model that requires the recognition of dividend revenue for distributions received or receivable from pre‐acquisition profits. The article shows that the recognition of pre‐acquisition dividends as revenue with a potential indication of impairment causes problems to consolidation accounting procedures and may reduce the information content of consolidated financial statements. The highlighted problems relate to the elimination of the investment asset against the equity of the subsidiary and the definition and measurement of non‐controlling interest. A review of the due process relevant to the replacement of the cost method indicates that the standard setter may have paid insufficient regard to accounting concepts and principles.     

Can the academic literature contribute to the debate over mandatory audit firm rotation?

Recently, the Public Company Accounting Oversight Board (PCAOB) issued a concept release soliciting public recommendations to improve auditor independence and audit quality (PCAOB, 2011). The focus of the release is on mandatory audit firm rotation (MAFR) with a request for commentaries addressing the advantages and disadvantages of MAFR. In this paper, we briefly summarize the recent literature on mandatory audit firm rotation and suggest how it can be useful to regulators as they consider the implementation of mandatory rotation. We find that the conclusions reached about the possible effectiveness of MAFR appear to depend on the type of data used (voluntary vs. mandatory auditor changes), suggesting that regulators should exercise care when drawing inferences from past audit firm rotation research.     

Media constructions of risk: a case study of the Stainforth Beck incident

In October 2000 two schoolgirls were swept away from their party whilst ‘river walking’ in Stainforth Beck near Settle in North Yorkshire. The paper examines this incident with reference to media coverage of the events at the time and the subsequent reportage. The discussion contributes to the debate concerning the appropriateness of an agenda of broadening education. We argue from a position that supports the principle of breadth, particularly when such activities are part of adventure education with its propensity to engage with outdoor risk settings. Whilst lessons must be learnt from such a tragic incident, it is important that outdoor professionals continue to disseminate the positive potential of adventure in order to offset the negative messages concerning risk promoted by the media in general.
