We hypothesize that because fast-growing young companies must raise money in private capital markets that contain significant financing frictions, the CEOs of such firms will be compensated for successful fundraising. Using a sample of 1585 private venture-backed U.S. firms, we find that the cash pay of entrepreneur-CEOs is increasing in both the quantity and quality of financing secured and is more sensitive to successful fundraising the more challenging and difficult is the fundraising task. Successful fundraising also increases the gap between the pay of CEOs and other executives. Finally, we show that while VC financing dilutes the CEO's fractional equity ownership, it increases the dollar value of that ownership.  相似文献

Using a large, new database of contractual provisions governing the allocation of cash flow rights in venture capital (VC) financings, we investigate how contract design is related to VC abilities to monitor and provide value-added services to the entrepreneur. We find that more experienced VCs, who have superior abilities and more frequently join the boards of their portfolio companies, obtain weaker downside-protecting contractual cash flow rights than less experienced VCs. Several pieces of evidence suggest that this relation is unlikely to be driven by selection effects. The results suggest that VCs with better governance abilities focus less on obtaining downside protections, which entail risk-sharing costs, and more on other aspects of the contract (such as obtaining board representation) during negotiations with entrepreneurs. The results also imply that previous estimates of the amount entrepreneurs pay for affiliation with high-quality VCs are overstated.  相似文献

This article seeks to add to our understanding of the significance and impact of processes of translation in the context of socially responsible workforce reduction. Abandoning the tendency among researchers and policy-makers to regard socially responsible workforce reduction as a stable feature or model that can be passed on and implemented in any organisation regardless of the local context, it will be claimed here that any attempt to understand what socially responsible workforce reduction means in practice must take account of the context in which it occurs and the processes whereby new ideas are imitated and translated by local actors. This claim will be supported by field data from a large Swedish company that has been undergoing extensive restructuring since the beginning of the 1990s. The implications of the article highlight the need for researchers to take account of the way workforce reduction practices are connected over time and to consider the space for translation available to local actors when it comes to defining the meaning of socially responsible workforce reduction in their own local context. The paper also contributes to our understanding of the interrelationship between the translation of such ideas and the processes of institutionalisation.  相似文献

Improving production efficiency remains as a plausible means of increasing productivity when resource reallocation, and the creation and adoption of new technologies are limited. Technical, allocative and economic efficiencies are derived from a sample of smallholder vegetable farmers in Ethiopia using parametric and non-parametric methods. The results reveal that the two methods yield similar estimates and the existence of substantial inefficiencies in production as well as efficiency differentials among farmers. The analysis of the determinants of efficiency of vegetable production using regression models show that low asset ownership, illiteracy, large family size, inadequate extension contacts, small farm size, age, low off/non-farm income and high consumer spending are the major socio-economic factors causing inefficiency of vegetable production in the study areas. A comparison of the market-driven (vegetables) with the whole-farm (crops and livestock) production efficiency indicates that lower economic efficiency scores for the former might be related to the limited access to capital markets, high consumer spending, and large family size.  相似文献

This paper examines the value of reducing foodborne risk. Previous research on the valuation of health risk has been dominated by the study of mortality risk. However, in most cases foodborne illnesses are non‐fatal, so we focus on individuals' preferences for reducing morbidity risk, while also including a realistic, if remote, chance of death. We use a contingent valuation method on a Swedish sample and we estimate a value of a statistical illness consistent with previous findings in the literature. We also examine how willingness to pay (WTP) varies with the expected change in quality‐adjusted life years (QALYs) and estimate the WTP per QALY. We find that WTP increases with, though less than proportionally to, a change in QALYs. However, our results also suggest that respondents may have found it difficult to evaluate compound risks of both morbidity and mortality simultaneously.  相似文献

We examine how Private Investment in Public Equity (PIPE) contracts allocate contingent cash flow rights between investors and issuers and the role of placement agents in PIPE contract design. Issuers advised by expert agents agree to more investor‐friendly terms than issuers advised by nonexpert agents. Expert agents appear to help issuers understand the payoff consequences of negotiable terms. Moreover, expert agents allow issuers to negotiate more attractive pricing when they agree to investor‐friendly terms. Issuers earn higher postoffering stock returns when they use expert agents or agree to more investor‐friendly terms. These results suggest that the involvement of expert agents is beneficial to PIPE issuers.  相似文献

A social-psychological perspective conceives of herding in stock markets as informative social influence resulting from heuristic or systematic information processing. In three laboratory experiments employing undergraduates we apply this perspective to investigate factors that prevent herd influence that would lead to inaccurate predictions of stock prices. In Experiment 1, we show that an economic reward for making the same predictions as the herd increases the influence of a majority but not the influence of a minority, and that an individual economic reward for making accurate predictions reduces the influence of the majority. In Experiment 2, we show a reduced influence of a majority herd's inaccurate predictions when requiring assessments of the accuracy of the majority herd´s predictions as compared to requiring judgments of their consistency. Experiment 3 shows that a lower volatility of stock prices reduces the influence of a majority herd´s inaccurate predictions.  相似文献

In this paper we explore how the MNE subsidiary’s role internally within its corporation evolves through knowledge creation in accordance with an evolving external local knowledge network, and the extent to which the interwoven coevolving context matters for, and may be guided by the subsidiary. We conducted a qualitative investigation of purposely selected subsidiaries as case studies and longitudinally tracked the interwoven co-evolving contexts of their internal corporate role and external knowledge network. We show why role evolution may be differential and illustrate how competence-creating subsidiaries can balance and simultaneously manage the guided co-evolution of both contexts to advance their roles for knowledge creation. We develop a dynamic framework of subsidiary role evolution at the nexus of these interwoven co-evolving contexts. This advances theory on the dual embedded subsidiary as previous studies have predominantly been cross-sectional and static rather than evolutionary.  相似文献

ABSTRACT

The article analyses Swedish and Finnish patent agents and their businesses at the turn of the twentieth century. Due to legal requirements, all foreign patent applications had to pass through the hands of patent agents. Despite the central role, this transnational business of technology intermediation has received only limited attention in the scholarship. The article studies the business relationships between the patent agents and their clients, and employs new datasets, which include information about all foreign patentees using a patent agent in 1860–1910. The main findings are that the transnational business relationships affected the specialisation of national patent agents, especially in Finland, where patent agents with a legal background contributed to the inflow of inventions managed by Swedish patent agents. Patent agent services also represented significant indirect costs of the patent systems for their foreign clients.  相似文献

This study concerns the effect that music has on consumer behavior in two different retail contexts during regular opening hours. Two studies were conducted in a field setting with consumers (N=550). Consumers were recruited to answer questions regarding behavioral measures, attitudes, and mood during days when background music was played. The conclusions from the two studies are that music affects consumer behavior, but also that the type of retail store and gender influences both the strength and direction of the effect.  相似文献
