Researchers have argued that top management team changes are an important force spurring change at declining firms. Yet, studies find that top executives at some firms are able to avoid being replaced even though their firms perform poorly. Also, despite support from numerous case analyses, there is little systematic evidence that replacing top managers leads to substantial organizational change at declining firms. In this study, we examine these issues by looking at levels of top management team replacement at a sample of declining firms attempting turnarounds. We find that top management team replacement levels vary with the presence of inertial or change-creating forces within firms. In particular, reduced levels of top management team replacement occur during turnaround attempts at large firms and those that have followed the same strategic orientation for a long period of time. Meanwhile, increases in outsider control of the board are associated with increased levels of replacement. We further find that higher levels of top management team replacement are associated with greater changes in firm competitive strategy and firm structure and controls during turnaround attempts. Overall, our findings show that organizational-level forces play an important role in top management and strategic change processes at declining firms.  相似文献

Although this has been commented upon by a number of advertising practitioners and social scientists, virtually nothing about this phenomenon and its consequences can be found in advertising texts; and undergraduates are typically unaware of it. Developing technological applications, entering exploitation alliances, and choosing between research‐ or service‐focused strategic orientations are decisions that high‐tech firms must manage concurrently. This article explores systematically the contrasting effects of these strategic determinants on rent generation and rent appropriation using the entire population of French biotech firms (1994–2002). Findings indicate that science and money do not unconditionally go together–the direct relationship between rent‐accruing resources (e.g., patents or articles) and rent appropriation varies depending on the type of resources and the strategic orientation. Moreover, the effects of strategic determinants differ for rent generation vs. rent appropriation: 1) technological application diversity undermines a firm's capacity to appropriate rents–in particular for research‐oriented firms; 2) exploitation alliances favor rent generation but hinder rent appropriation; 3) service‐oriented firms exhibit significantly better performance than research‐oriented firms. Such evidence challenges the emergence in the biotechnology industry of a ‘one‐best’ strategic trajectory, as represented by research‐intensive start‐ups funded by private money engaged in publishing and patenting races. This article investigates how competition for network orchestration sustains high tech clusters rejuvenation by avoiding early lock-in and stimulating exploration. Based on evidences drawn from the comparison of the evolution of two nano-electronics clusters, i.e., Grenoble (France) and Catania (Italy) clusters that share the same anchor tenant firm, namely STMicroelectronics, this article infers that cluster rejuvenation comes from scientific and technological diversity, competition for orchestration, overlap amongst networks and the ability of sleeping anchor tenant organizations to renew actors and technologies. As soon as the process of specialization (asset specificity, network specificity and technology speciation) starts, competition for orchestration stimulates sleeping anchor tenant organizations to influence research avenues within the cluster, and shape new networks within and outside the cluster.  相似文献

In the literature, three non-mutually exclusive approaches explain pension plan funding decisions: the traditional view (Friedman, 1983), the corporate view (Bodie et al., 1985) and the bonding view (Ippolito, 1985). An investigation of pension funding levels is presented here relying on an empirical model integrating these three different views. The results, based on data covering 115 relatively large Canadian firms in 1990, offer strong support for the bonding view.  相似文献

The regulatory framework for inter‐city bus operators in Canada is facing multiple challenges with regard to productivity, consumer satisfaction and cost controls. In spite of government reports calling for deregulation, there has been little action by provincial governments to deregulate entry and pricing.
