我国保险资管公司治理与优化

<正>完善的公司治理体系能为保险资产管理公司实现投资决策科学进而获取稳定的、高水平的回报提供支撑和保障党的二十大报告提出以中国式现代化全面推进中华民族伟大复兴。中国式现代化包含了国家治理体系和治理能力现代化，而保险资产管理公司治理现代化是国家治理体系和治理能力现代化的重要组成部分。     

高管薪酬对保险公司成长性影响的实证研究

本文基于2006-2014年我国保险行业上市公司面板数据,以公司董事、监事和经理层年度薪酬总额、金额最高的前三名董事薪酬总额和金额最高的前三名经理层薪酬总额三个指标衡量高管薪酬状况,同时以主营业务收入增长率、净资产增长率、总资产增长率三个指标衡量保险公司成长性,利用固定效应模型,检验了高管薪酬和保险公司成长性之间的关系.实证结果表明,我国保险公司高管薪酬和成长性呈现显著正相关关系,高管薪酬激励机制有效发挥了作用.最后,为进一步提高保险公司高管薪酬的激励效果,提出了相应的政策建议.     

中国上市公司监事会治理评价实证研究

本文从监事会运行状况、监事会结构与规模和监事胜任能力三个方面对我国上市公司监事会治理的状况进行了评价。评价结果显示我国上市公司监事会治理水平总体偏低,监事会虚置现象仍然存在。监事会治理水平不高并不是制度本身存在着问题,而是由于运行过程中存在着诸多不足,监事会结构与规模方面有待进一步优化,监事胜任能力低下。对监事会治理水平与公司绩效的实证关系分析显示,在我国经济转轨背景下,监事会仍应作为法定的公司监督机构发挥其不可替代的监督作用。
