This paper argues that corporate governance reformers in Anglo‐American jurisdictions should consider a different approach in their quest for better corporate governance. Traditionally, corporate governance reform has taken a structural approach, tightening the rules around the number of independent directors required on boards and committees and fine‐tuning the definition of independence. However, such an approach has failed to achieve effective corporate governance. Moreover, this approach is informed by the arguably discredited assumption that individuals are rational self‐interest utility maximizers. This conceptual paper questions why corporate governance scholars and regulators remain uncritical of this assumption and suggests an approach to reform inspired by a different view of human nature. Indeed, incorporating an actor‐based approach to reform into existing structures may better achieve effective corporate governance while addressing an unjustified adherence to this flawed assumption.  相似文献

This Forum aims to systematically describe and analyse the evolution of national financial systems within the EU over the past three decades. It analyses the processes of financialisation that have dominated this period as well as the causes and consequences of the financial crisis from the perspectives of five individual member states — Germany, France, the UK, Italy and Spain. Marisol has forged a successful legacy in Brazil in the market for clothes with a sophisticated, stylish look. Success in Brazil enabled the firm to garner overseas customers. The establishment of subsidiaries in Argentina, Italy and Mexico, as well as sales operations in several countries – including Chile, Colombia, Spain, and the USA, among others – represented important steps in Marisol's internationalization. Marisol's executives have to decide on several issues: how to consolidate their position in the USA market and in other countries? What modes of operation – own stores, franchisees, multi-brand stores, private label supply – to use in which countries? Which brands to launch abroad and whether to adapt them to local tastes, while exploiting the image of Brazilianness?  相似文献

How do you get your organization to start using social technologies to become more innovative and productive? Where and with whom should you begin? We interviewed over 70 managers across 30 companies and found that the most successful firms employ one of three jumpstart strategies, depending on the organization's mission, work processes, culture, and industry. Some start at the bottom of the organization, finding and enabling ‘young experimenters’ to use social technologies to enhance their individual productivity. Others start in the middle, finding and helping ‘corporate entrepreneurs’ in middle management to use social technologies to improve collaboration on teams and projects. Others begin at the top, finding ‘enlightened executives’ who are open to new technology and the potential of social tools to strengthen their organizational culture. We combine our research with concepts from change management, technology adoption, and social networks to suggest ways managers can best introduce social collaboration tools into their organizations.  相似文献

The analysis of value chains has augmented our knowledge on the complexities, inter-linkages, distributional benefits, and institutional arrangements of production and marketing channels in developing countries. However, the analysis remains relatively qualitative and case-specific, with limited ability to rank or assess the impact of alternative interventions or to analyze sufficiently the complex market dynamics and feedbacks present in livestock systems. This paper offers theoretical and applied insights on ways to improve the analytical rigor of the value chain methodology that combines both qualitative and quantitative approaches.  相似文献

Hospital systems utilize many varied problem-solving processes to address system improvements and ensure patient safety. The Healthcare Failure Mode Effect Analysis (HFMEA) model is one of these tools and uses a multidisciplinary team to look at processes, diagramming the steps involved to identify potential failure points. The application of the HFMEA model allowed one large health care system to address a complex process by prioritizing proactive change improvements in order to prevent postoperative patient-controlled anesthesia oversedation events. The changes implemented identified 16 failure points with a hazard score of 16 or greater. One year later, the established system HFMEA goal was met: oversedation events were reduced by 50%.  相似文献

The current article sought to contribute to the literature on leadership and power by exploring two relatively new and less‐examined bases of social power: information power and connection power. Data from 160 employees were collected, and principal component analysis was used to examine the uniqueness of each power source. Support was found for expert, legitimate, reward, coercive, and the newly developed construct of connection power. Limited support was found for referent and information power. Furthermore, the association between information power, connection power, and informal power with innovative culture (operationally defined as adhocracy culture) was examined. For exploratory purposes, one item measuring horizontal structure was included. The findings suggested that informal sources of power, particularly when combined with a horizontal organizational structure, complemented and reinforced an innovative culture. Implications and future research directions were discussed.  相似文献

Between 2002 and 2006, the Federal Reserve set interest rates significantly below the rates suggested by well-known monetary policy rules. There is a growing body of research suggesting that this helped fuel an excess of liquidity in the U.S. that contributed to the 2008 worldwide financial crash. It is less well known that a number of other central banks also lowered interest rates during this period. An important question, then, is what role the Federal Reserve played in influencing other central banks to alter their own monetary policies, which could have magnified the Fed’s actions in creating global liquidity. This paper addresses the issue by showing how spillovers in central bank behavior occur in theoretical rational expectations models. It then establishes empirically how U.S. monetary policy actions affect the actions of other major central banks, particularly in terms of interest rates and currency interventions. The models and data suggest that the U.S. lowering its policy rate, either in general or in reference to a monetary policy rule, influences other central banks to lower their own policy rates and intervene in currency markets, even when controlling for worldwide macroeconomic trends. It thus appears that U.S. actions were a factor in the worldwide lowering of interest rates and the increase in currency reserves in the early 2000s that may have contributed to the subsequent global liquidity boom.  相似文献

International volunteering has traditionally been viewed as a pursuit that, while admirable, provided little benefit for the volunteer beyond altruistic satisfaction. Yet several recent studies suggest that an international volunteer placement can fast-track the development of valuable global skills and capabilities. To date, no research has offered a systematic explanation for this. This article presents a framework that outlines the unique mechanisms of international volunteer placements that contribute to them being fertile learning environments for expatriates. In doing so, it draws on evidence from a longitudinal study of the learning experiences of a sample of international volunteers from Australia and New Zealand.  相似文献
