基于跨国并购的创新网络嵌入、网络异质性与创新质量研究

区别于现有研究通常将跨国并购视为一个“事件”研究其对并购企业技术创新的影响，基于创新网络视角，文章采用中国上市公司数据，通过关系嵌入和结构嵌入两个维度探讨基于跨国并购的国外创新网络对创新质量的影响机制。研究发现，通过跨国并购嵌入创新网络的直接联系促进了创新质量提升，间接联系和结构洞对创新质量产生了显著的抑制效应。网络异质性对基于跨国并购的创新网络嵌入与创新质量具有倒U型调节作用，在网络异质适度阶段，网络异质性正向调节基于跨国并购的创新网络嵌入的创新质量效应，在网络异质过度阶段，网络异质性具有负向调节效应。研究发现为新兴经济体企业实施跨国并购，有效嵌入国外创新网络，配置创新资源，提升创新质量，提供了有价值的参考。     

Earnouts: The real value of disagreement in mergers and acquisitions

Earnout agreements link part of the payment for an acquired company to its future performance. Despite their option-like features, they cannot be valued using vanilla option-pricing methods. Two peculiar sources of risk affect these contracts: Bidder default before the earnout expiration (default risk) and potential litigation associated with earnouts (litigation risk). We developed an option-pricing model that encompasses these sources of risk, showing that counterparty and litigation risk can have a remarkable impact on earnout values. Our model's relevance is further enhanced by recent accounting standards that require contingent payments to be valued at fair value.

Primary-school class composition and the development of social capital

We study the development of social capital through adult civic engagement, in relation to social capital exposure having occurred during childhood based on experiences outside the family at primary school. We assume that the types of classmates in attendance at a child's school would have influenced her/his social capital. To identify the types of classmates, we take advantage of the heterogeneity in the ability levels of British primary-school classes during the 1960s. At that time, some schools were practicing a method of streaming, whereas others were not. Using British National Child Development data, we construct a single score of civic engagement and evaluate the effect on adult civic engagement of attending homogeneous-ability classes versus nonhomogeneous-ability classes and being in high-, average- or low-ability classes when enrolled in streamed schools. Our results show that children who were grouped in homogeneous-ability classes developed a lower interest in civic engagement than their peers who attended mixed-ability classes (nonstreamed schools). Moreover, among children who attended streamed schools, a lower attitude toward civic engagement was observed among low-ability students. Thus, streaming appears to be detrimental to social capital development, especially for low-ability individuals.

中国企业“逆周期”跨国并购研究

"新常态"经济周期中,中国企业跨国并购有何特征?从经济政策频繁波动的现实出发,如何理解跨国并购的"逆周期"成因?文章基于2001-2016年中国企业对91个国家的跨国并购数据,实证检验了经济周期、经济政策不确定性对跨国并购的影响,得出以下结论：首先,中国企业的跨国并购具有显著的"逆周期"特征,下行经济周期加剧了并购规模提升;其次,经济政策不确定性与跨国并购正相关,并且在国有企业中和2008年金融危机后表现为更明显;最后,经济政策不确定性差距以及市场增长潜力差距均提升了并购规模。     

What determines outstanding corporate debt mix? Evidence from fractional multinomial logit estimation

This study employs the fractional multinomial logit setting proposed by Papke and Wooldridge (1996) to examine factors driving the choice among nonbank private (144A) debt, bank loans and public debt made by 988 nonfinancial firms during 1993–2007. We document that the majority of firm-level factors have persistent effects on corporate outstanding debt mix across economic conditions. We also highlight the importance of macroeconomic variables on firms’ borrowing decisions as predicted by Diamond (1991). Finally, we document a substitution effect among debt financing sources due to credit rating downgrades, which is inconsistent with Rauh and Sufi (2010).     

并购基金是否创造价值？——来自上市公司设立并购基金的经验证据

以2011—2015年上市公司设立并购基金事件为样本,研究并购基金的价值创造效应,并分别从融资和投资角度研究并购基金价值创造的影响因素。研究发现,上市公司设立的并购基金具有较明显的价值创造能力。同时,研究还发现杠杆水平较高的上市公司,其设立的并购基金会获得更高的财富效应;不同类型并购基金均能创造价值,但相关并购型并购基金比多元化并购型并购基金更具价值创造能力。
