适用刑法修正案（七）对抑制经济领域犯罪的思考

第十一届全国人大常委会第七次会议表决通过的刑法修正案(七),是遏制当前比较猖狂的职务犯罪和金融证券业等经济领域犯罪的有力武器.规范市场经济秩序,针对金融市场秩序和惩处腐败的职务犯罪是刑法修订的重点.更为重要的是在当今刑罚量刑轻刑化的趋势下,对于经济犯罪和职务犯罪这两类犯罪,在修正案里却体现出了刑罚趋重的特点.     

风险态度、合作行为与联保贷款契约:一个实验研究

本文应用实验室实验方法,研究了在不同贷款契约情况下,借款人风险态度等因素对合作水平(努力程度)的影响。研究发现:(1)联保贷款契约下参与者的努力水平之间存在正相关关系,且其努力水平显著高于个人责任契约下参与者的努力水平。说明联保贷款契约参与者存在较高的有条件合作行为;(2)在联保贷款契约下,风险喜好参与者的努力水平显著高于风险规避参与者。说明联保贷款契约对风险喜好参与者具有显著激励作用;(3)风险规避参与者的努力水平随实验期数增加而下降的速度比风险喜好参与者更快,风险规避参与者对联保贷款契约合作水平有较大危害。我们提出:小额贷款机构应当为风险喜好借款人提供联保贷款契约,并且避免风险规避的借款人与风险喜好的借款人组成联保贷款小组。对风险喜好借款人组成的联保贷款小组,联保贷款契约的期限可以较长。     

Chinese enterprises in Germany: Establishment modes and strategies to mitigate the liability of foreignness

Although China shows an impressive increase of outward foreign direct investment, research on internationalization strategies of Chinese companies is still in its infancies. It remains unclear, for example, how Chinese MNEs cope with the specific institutional hurdles of a developed country such as Germany and to reduce their liability of foreignness (LOF). Given a remarkable lack of in-depth empirical studies, we present insights from 31 semi-structured face-to-face interviews with employees belonging to seven Chinese MNEs and stakeholders. Our findings suggest that Chinese MNEs have gained international experience, whereas strategies to reduce their LOF depend on the establishment mode chosen.     

制造企业服务化类型与灵活性匹配分析

制造企业灵活性对其服务化具有重要影响,不同灵活性对不同服务化类型的影响与贡献程度不同。鉴于此,在阐明制造企业灵活性类型、服务化类型基础上,提出理论假设,通过问卷设计与数据采集、处理分析等,得出结论：制造企业生产、关系与流程灵活性对基于产品的服务化具有显著正向影响;生产、关系与结构灵活性对基于功能的服务化具有显著正向影响;生产与流程灵活性对基于业务流程的服务化具有显著正向影响;结构、流程灵活性对基于概念的服务化具有显著正向影响。总之,不同服务化类型制造企业应当进行不同的灵活性调整,以有效推进服务化进程。     

英美董事个人在破产中所担民事责任及对我国完善《破产法》的启迪

普通法关于董事在公司正常营运时与公司破产时所承担的义务迥然不同。在公司破产情况出现时,公司风险的承担者由股东转为债权人,后者成为公司的剩余索取者而继之为公司的所有者。他山之石,可以攻玉,通过对英美两国董事在破产前及破产时责任的比较分析来探究其经验教训,可以看到我国《公司法》和《破产法》对董事责任预防性不足之处,也可以为我国破产法后期发展和修订提供借鉴。     

论事务所规模化与审计质量保证

本文从会计师事务所规模和审计质量相关性的两个主要理论出发,分析了声誉机制和法律风险机制的运行效率,并指出当前我国的会计师事务所只有在“法律风险-声誉积累-规模化”的共生互动中才能真正走上做大做强的发展之路.     

论航海过失免责制度在无人智能船舶货物运输中的废止

无人智能船舶的出现,颠覆了人们对传统船舶的概念,将消除在船船员引起海损事故的发生。国际上关于航海过失免责制度是否应当废除的争论长期存在,而无人智能船舶的出现正是推动海上货物运输实行完全过失责任的强力催化剂。对无人船废除航海过失免责并不会导致承运人营运成本的大幅增加,且有利于航行事故的减少,促进承托双方权利义务根据公平原则进行分配和平衡,顺应了国际海上货物运输法的发展趋势。     

Liability of Foreignness in Fast-Expanding Markets: Evidence from Ghana

In this study, we sought to establish if the idea of liability of foreignness (LOF) also persists in the fast-expanding markets (FEMs) and whether there are certain firm characteristics that can mitigate or accentuate this effect. We utilize data from the World Bank enterprise surveys conducted in Ghana in 2007 and 2013. We operationalize liability as the probability that a firm suffered from a crime in the year under study. We also specify empirical probit and instrumental probit models with controls to answer the above research question. We find that there is LOF in fast-expanding markets, and this effect is robust to different specifications. Given that our liability is crime, we moderate the LOF effect with data on security expenditure. The results still show that even if firms increased their security expenditure, the LOF effect still persisted. The study makes a contribution to the international business literature by testing the LOF effect in a new unit of analysis and is also one of the earliest to operationalize a firm's liability in the form of crime it suffers in its operating environment. © 2015 Wiley Periodicals, Inc.     

Category management initiatives from the retailer perspective: a study in the Brazilian grocery retail industry

This paper aims to bridge a gap in the literature concerning implementation processes and outcomes of category management initiatives in a developing country context. It presents the results of a study into initiatives of adoption of this tool in the Brazilian grocery retail industry, based on three in-depth case studies with retailers covering both pre-implementation, implementation and post-implementation issues. There is indication of satisfaction on the part of retailers with the business outcomes and learning effects of the initiatives. However, there seems to be the need for a better definition of medium and long-term actions as well as planning of investments in resources and technology.     

操纵证券交易价格行为刑法对策——兼论前置法律责任的构建

操纵证券交易价格是资本市场上的正常现象,只须将其限制在市场可以接受的限度之内即可。为抑制操纵证券交易价格行为的频繁发生,并须彰显及时性、确定性与严厉性刑法的干预是必要的。但是,囿于刑法的补充性,前置法律责任显得非常重要,如信托责任的确立,民事责任的完善,行政责任的强化等。
