The success of divestitures in merger enforcement: Evidence from the J&J-Pfizer transaction

Despite being a widely used tool in merger enforcement, there have been few studies of whether antitrust divestitures are successful. We help fill this void by conducting a study of the divestitures relating to Johnson & Johnson's $16.6 billion acquisition of Pfizer's consumer health division in 2006. Six brands were divested in this matter to alleviate antitrust concern. For three of the brands, their pre- and post-divestiture performances are similar, while the remainder underwent changes that do not appear to be divestiture related. Overall, the results are consistent with the view that the divestitures maintained the pre-transaction level of competition.

Large market games with demand uncertainty

We consider a market game with a continuum of consumers, where the measure of each type is stochastic. Nature selects the set of active consumers, who make bids and offers on ?−1 spot market trading posts. Existence of type-symmetric Nash equilibrium is proven. When facing price uncertainty, best responses are unique, and a Nash equilibrium to the sell-all game is typically not a Nash equilibrium to the original game. Under plausible circumstances, consumers strictly prefer to be on one side of the market.

Selection and motivation of distribution intermediaries

This article reviews factors necessitating the application of effective selection and motivation criteria when using independent distributors. It reports findings concerning the criteria utilized by samples of US and UK manufacturing companies. Generally, there appears to be much that is acumenical in the efforts of firms in both countries. However, there also seems to be considerable scope for improvement in selecting and motivating distributors.     

ARE TREASURY INFLATION PROTECTED SECURITIES REALLY TAX DISADVANTAGED?

In 1997, the U.S. Treasury introduced Inflation Protected Securities, commonly known as TIPS. Several in the finance field have since described these securities as “tax disadvantaged” relative to conventional securities, leading to serious questions regarding their appropriateness outside of tax‐deferred accounts. In this article, we develop a framework that demonstrates that at least in a real sense the tax treatment of TIPS is trivially different from that of conventional Treasury securities. Moreover, empirically we find evidence that TIPS generally have after‐tax yields comparable to, if not exceeding, conventional fixed‐rate Treasury securities. We also show that TIPS have generally outperformed matched‐maturity conventional Treasury securities in terms of after‐tax rates of return.     

Competitive Tendering and Contracting in the Public Sector: A Survey

This paper is a survey of the role and impact of competitive tendering and contracting (CTC) policies in the public sector. The paper examines the theoretical rationale for introducing competition in the provision of public services and the methodology by which contracting decisions are reached. It investigates the extent of implementation and nature of outcomes in several countries. A broad sweep of the empirical findings suggests that CTC generates substantial cost savings. Lack of adequate data makes an assessment of the effect on quality more troublesome, and further research is needed

Retail profit margins in Japan and Germany

Retail Profit Margins in Japan and Germany. — This study compares the determinants of retail profit margins in Japan and Germany. Although several studies consider the peculiarities of the Japanese society and its economic structure, the comparison in this study is the first systematic, empirical analysis of the consequences of these characteristics for Japanese retail profit margins. For this purpose, two extensive data sets are used and a mark-up relationship is tailored to examine differences in Japanese and German retail profit margins. The empirical outcomes indicate that small firms can survive more easily in Japan than in Germany. This explains the abundance of small stores in Japan.     

Korea's liberalization policy directives and Korea's weakening competitiveness

Recently, Korea's export growth rate is decreasing and its trade level staggering. Since Korea has few natural resources and is highly dependent on trade, this recent trend signals a serious problem lying ahead. In this paper, we look at internal and external factors weakening Korea's competitiveness in the world market and suggest liberalization policy guidelines to improve its competitiveness.
