企业并购活动中目标企业选择的层次分析评估研究

企业并购是企业进行资本扩张、促进企业间存量资源合理统流动的重要途径。对企业并购中的目标企企的选择、价值评估进行研究，构建我国企业并前过程中目标企业选择的评价指标体系，运用AHP法对目标企业选择进行定量化评估，将有利于企业通过并购后，实现资源的最优配置．保证企业经营机制协调、有效地运行。     

R&D项目投资评估的实物期权方法初探

本文分析了传统的NPV法在R&D项目投资评估中的缺陷,指出R&D项目投资本质上所具有的期权特性。在此基础上引入了实物期权方法,包括Black-Scholes期权定价方法和Geske期权定价模型。     

Party alternation,divided government,and fiscal performance within US States

The literature on US state government fiscal performance has examined the role of institutional factors such as budget rules and divided government, but has largely ignored the impact of party alternation. This paper primarily focuses on whether party alternation in the governor’s office affects fiscal performance. Our hypothesis is that frequent party changes create a political environment that impacts fiscal performance. To further assess the impact of party alternation on fiscal performance, we consider our primary hypothesis in conjunction with the degree of division that exists between the governor’s office and the legislature. Using panel data from 37 states between 1971 and 2000 we test the hypothesis that frequent party alternation can be expected to affect fiscal performance and find strong support for the hypothesis. Introduction to research on Hirschman's Exit,Voice, and Loyalty model

This article introduces this special issue of theEmployee Responsibilities and Rights Journal on recent work exploring Albert O. Hirschman's Exit, Voice, and Loyalty model of dissatisfaction. This special issue provides a forum for researchers and theorists with various perspectives on the model to present their ideas in one place. There are six original articles in this issue, and one discussion piece. While these articles do not resolve the controversies surrounding the Exit, Voice, and Loyalty model, they do provide a clear picture of the current status of research and theory on dissatisfaction in organizations from this perspective.     

论瑞典社会民主党构建和谐社会的探索

瑞典式社会主义和谐社会经历了诞生、发展到成熟的过程。1932年秋社民党通过竞选上台执政,开始功能社会主义福利国家的尝试；1944-1975年是和谐国家建设的全面展开和建成；1982-1990年“保卫福利、重振经济”和谐政策的调整；1990-2000年建设自由与平等基础上相互关联的社会共同体；以2001年1 1月社民党第34次全国代表大会为起点,重建民主的人道的更加和谐的社会主义福利国家。     

基于系统论的第三方物流信息系统分析

针对目前第三方物流信息系统的缺点和不足,引入系统论的思想和分析方法,分别对第三方物流信息系统的整体性、相干性、层次性和有序性进行了探讨,最后给出了基于系统论的第三方物流信息系统的模型和体系架构。     

企业技术创新与研究开发探讨

在社会主义市场经济环境中，企业的技术创新和技术研发被提升到一个从未有过的高度，这两个词汇也频频被知识经济下的各种传媒所引用。作者认为，如果对二者没有一个清晰的概念，忽略了它们本质上的差异，那么对“科学技术是第一生产力”就不会有深刻的理解，也无法说清技术对经济的影响，思想的混乱将会导致企业决策和行动的失误。本文结合企业的实际情况，就技术研发与技术创新的表现以及对企业发展的作用和影响，进行分析和探讨。     

证券交易信息系统与交易运行模式辨析

首先对证券交易信息系统的特性进行了阐述,介绍了证券公司交易系统的主要模式。现行的证券交易系统主要分为两类:以单营业部为基础的独立式交易系统和以中心营业部为基础的集中式交易系统。两种不同特性的交易系统又决定了不同的证券交易运行模式,文章的重点在于对不同的交易模式进行对比分析,并结合实际运行情况,找出能适应证券公司发展的、行之有效的交易模式。最终的结论是集中式交易模式是适应市场发展和公司经营的正确选择。     

基于遗传算法的军用集装箱装载优化

以军用集装箱装载为研究对象，在考虑实际应用中的一些约束条件下，构造了军用物资的装载优化模型，提出了一种军用集装箱三维装载的遗传算法。该算法考虑了货物放置方向、装载客积、装载质量及装载重心等约束条件。最后对一个案例进行了计算，验证了该模型的有效性，并且利用3ds max得到了装载方案的三维图。     

独立董事的相对独立性与发挥作用的途径

本文的实证结果表明独立董事报酬无论与内部董事,还是与管理高层的整体报酬之间都呈现显著的正相关关系,这说明独立董事具有相对独立性是不以人的意志为转移的客观事实。在此基础上,研究了相对独立性对监督有效性带来的影响。结果表明,尽管独立董事只具有相对的独立性,但只要能挖掘出符合相对独立性要求的机制来激励独立董事做更多实实在在的工作,具有高认知能力的独立董事依然能在上市公司的治理中有效地发挥作用。
