In this paper, we empirically examine whether superior performance in corporate social responsibility (CSR) results in lower credit risk, measured by credit ratings and zero-volatility spreads (z-spreads). We are especially interested in how the environmental, social, and governance (ESG) related performance of the corresponding countries moderates this relationship. We find only weak evidence that superior corporate social performance (CSP) results in systematically reduced credit risk. However, we do find strong support for our hypothesis that a country’s ESG performance moderates the CSP–credit risk relationship. Superior CSP is regarded as risk-reducing and rewarded with better ratings and lower z-spreads only if it is recognized by the environment. In addition, we find a reduction of corporate bonds’ z-spreads by approx. 9.64 basis points if the CSP of a company mirrors the ESG performance of the country it is located in. 相似文献

The aim of this paper is to clarify the relationship between companies' sustainable behavior and their financial performance (FP), which has been studied for several years without reaching a consensus on the effect and the direction of it. Hypotheses are tested for an unbalanced sample of 1960 multinational non‐financial listed companies from 25 countries and one administrative region for the period between 2002 and 2010. Due to the use of an international database and the differences among countries, it is possible to observe divergence between institutional settings. For this reason, a corporate governance system (Anglo‐Saxon, Germanic, Latin and Asian) is used as characteristic of the macro‐environment. Results obtained via the generalized method of moments estimator allow us to support the existence of a positive bidirectional relationship between corporate social responsibility and FP, evidencing the existence of a synergistic circle. The use of market value indicated that investors are able to identify economic, social and environmental practices generating a positive effect on FP. These relationships differ between corporate governance systems, due to the specific characteristics of each system. 经济活动过程和结果的绿色化主要靠企业承担环境责任来实现,但基于企业的营利本质,期望企业自觉承担环境责任并不现实,必须通过立法从内外部保障、强制其承担环境责任。我国环境保护法及企业法中无法容纳大量的企业环境责任条款,因此我国有必要制定专门的《企业环境责任法》,要求企业承担产品从设计、生产直至废弃的环境责任,并建立环境信息披露、税收优惠等企业承担环境责任的激励约束措施。同时我国应修改环境保护法,提高企业污染环境的成本、将企业环境成本内部化。 相似文献

The transition to the circular economy (CE) creates value through the closed-loop systems, reverse logistics, product life cycle management, and clean production in terms of corporate environmental management. During this transition process, the organization faces many barriers such as financial, organizational, technology-based, social, policy-related, market-based, and logistics-based barriers. The objectives of this study are to propose a framework highlighting policy-related barriers for a supply chain in the transition to CE and finally discuss potential implications on enhancing corporate environmental performance of a business. Further, this study evaluates the causal relationships between the policy-related barriers using fuzzy Decision-Making Trial and Evaluation Laboratory (DEMATEL) method. The application was conducted in an apparel firm in Turkey. From findings, lack of legislation for efficient CE (C4), lack of mandatory requirements and responsibilities for manufacturers/suppliers for the CE (C17), and lack of government support for environmentally friendly policies (C2) are revealed as the most important barriers, respectively. It is found that lack of attitude and awareness about CE in government institutions (C19) is the most influencing factor, whereas lack of effective recycling policies to achieve quality in waste management (C8) is the most influenced factor. The recommendations were developed for enhancing the corporate environmental performance of businesses through incentives and unique rewards, improving communication among stakeholders, the government's perception of CE and current linear economy, cooperation with nongovernmental organization (NGOs) and civil actions, the vision of government towards circular principles, the circular public procurement, the local governments in circular policymaking, and awareness of bureaucracy and government officials. 相似文献

Based on a survey of climate change experts in different stakeholder groups and interviews with corporate climate change managers, this study provides insights into the gap between what information stakeholders expect, and what Australian corporations disclose. This paper focuses on annual reports and sustainability reports with specific reference to the disclosure of climate change-related corporate governance practices. The findings culminate in the refinement of a best practice index for the disclosure of climate change-related corporate governance practises. Interview results indicate that the low levels of disclosures made by Australian companies may be due to a number of factors. A lack of proactive stakeholder engagement and an apparent preoccupation with financial performance and advancing shareholders interest, coupled with a failure by managers to accept accountability, seems to go a long way to explaining low levels of disclosure. 相似文献

We investigate the association between board size and firm valuation for a sample of 169 firms from 2002 to 2011 in South Africa (SA). The SA corporate context is interestingly and uniquely characterised by an urgency to meet affirmative action regulations, such as black empowerment in board appointments, limited qualified and experienced directors, especially black directors, concentrated ownership, weak enforcement of corporate regulations and greater government ownership. These features make SA corporate boards perform a weaker agency (advisory, monitoring and disciplining) role than Western European and US boards, but a stronger resource dependence role, by providing access to resources, such as business contacts and contracts. This suggests that any positive impact of board size on firm valuation is likely to depend on the effective execution of the resource dependence role more than the agency role. Our results suggest that board size has a positive association with firm valuation, consistent with larger boards providing better access to resources. Overall, our results support the resource dependence role of boards more than their agency role. The results are robust across a raft of econometric models that control for different types of endogeneity, as well as different types of accounting and market-based firm valuation measures. 相似文献

本文选取2010—2016年中国沪深A股上市公司样本,实证检验CEO学术经历对高管在职消费行为的影响。研究发现,学术经历有助于CEO强化道德自觉、增强道德自律,形成内在的自我约束与监督机制,进而抑制了其所在企业的高管在职消费活动。当CEO拥有高层次学术经历或来自内部晋升时,CEO学术经历对高管在职消费的抑制效应更为显著。该结论在采用双重差分模型、Heckman两阶段模型控制潜在的内生性问题及其他稳健性检验之后仍然成立。进一步研究表明,在自由现金流较多、董事会规模较大或独立性较低、外部审计监督较弱以及产品市场竞争程度较低等公司内外部治理环境较差的情景下,学者型CEO的自律品质所能发挥的治理作用更大,对高管在职消费的抑制效应也更为明显。此外,在党的十八大之后,随着“八项规定”等多项高压反腐政策的出台,政策效应在国有企业高管在职消费的治理中发挥着主导性作用,CEO学术经历对国有企业高管在职消费的抑制效应有所下降。本文为高管学术经历的治理效应假说提供了证据支持,对于上市公司规范和治理高管在职消费行为、选聘合适的高管人才具有重要的借鉴意义。 相似文献

本文基于2010—2017年我国A股上市公司数据,以十八大后推行的业绩考核办法优化修订为准自然实验,选用双重差分模型检验2013年新的《考核办法》实施对中央企业的现金持有的影响,研究发现:与不受该制度影响的民营企业相比,新的《考核办法》显著正向提升央企的现金持有水平,且这一结果均通过平行趋势、控制组调整、变量替换、PSM-DID和安慰剂检验等稳健性检验;通过机制分析发现,业绩考核制度通过发挥抑制央企因超额持现所诱发的过度投资而提升央企现金持有;进一步地,业绩考核还促使央企权衡增持的现金资源二次配置策略,缩减超额持现的股利支付且转而将其用于创新活动,进而提升中央企业现金持有价值。上述结果意味着,业绩考核制度既可以抑制过度投资的无效耗费行为促使央企增持现金,又将增持现金用于“多创新,少股利”的长期价值创造权衡配置,优化增持现金利用效率,提高企业创新能力,进而提升企业价值,这为十八大以来有关中央企业高质发展和国资监管体制建设而进行改革的政策预期效果提供经验证据,同时为进一步全面深化国资监管、积极深入推进业绩考核制度优化修订提供理论依据和经验证据。 相似文献

We present a novel lens on the presence and impact of qualified foreign institutional investors (QFII) in top shareholdings of the non-financial domestically listed Chinese ‘A’ share firms. The initial results suggest that the presence of a QFII as a top shareholder in these companies is associated with their better performance, using both Tobin’s Q and ROA as the performance measures. Our models include variables representing corporate governance mechanisms, foreign legal person shares, a proxy for international affiliations and a number of time-variant firm characteristics. Economically, the coefficient of impact on the market measure is the more significant, while the effect of having a QFII in top shareholdings on both performance measures is empirically significant. Previously, studies have often ignored the potential for reverse causality beyond using lagged regressors. This is problematic. Therefore, we follow up with a 2SLS instrumental variables and system GMM model to further mitigate this potential and find the empirical relationship holds. Contrary to earlier work on QFIIs and governance post-implementation of the QFII scheme, the findings from our models suggest that the presence of a QFII top shareholder augments market performance holding equal existing corporate governance mechanisms and other controls. 相似文献
