跨国公司在华并购动机及其阶段性演进

从企业资源基础观的视角,对跨国公司在华并购的资源获取战略演化进行分析表明:在开放初期,外资并购主要在于获取与生产经营相关的当地市场政策法规、经营规则等知识以及与政府管理部门交往的关系资源,快速进入中国市场。中国市场日臻成熟后,则转变为主要获取品牌、营销网络、特许经营权等企业特质资源,谋求主导、控制中国市场。跨国公司并购中资源获取战略的演化,是基于市场对资源要求取向以及国内企业资源禀赋的变化,为追求资源获取战略改变带来的竞争优势提高所进行的一种决策过程和决策结果。

Socioeconomic determinants of farmland value in India

Developing countries have achieved remarkable overall economic diversification and growth during the last few decades, but farmland has remained a prime pillar of the livelihood support system of resource poor people in the rural areas of these countries. For these people, land is still the most important resource as it has multiple utilities such as a symbol of social standing, collateral value and a reserve capital asset for emergencies. Agricultural land assumes different values for different owners. This study establishes the criticality of age, education level, size of family workforce, dependency on agricultural income, productivity of land and location of farmland in influencing perception of value of farmland. Ignoring these factors creates a gap in the value of farmland as perceived by the farmland owner and the government. Knowledge of these factors may help in making appropriate adjustments in government declared prices of farmland for determining appropriate land compensation rate for a specific location.     

企业购并中的财务问题探析

上个世纪80年代美国曾经出现所谓的＂购并风＂,在90年代形成愈演愈烈之势。近年来,随着我国社会主义市场经济体制的逐步发展和加入世界贸易组织,我国企业购并现象日益突出。对于企业购并中政府过分干预的问题,应实行政企分离,明确产权;对于企业购并中的财务风险,企业应积极应对并寻找解决之道;对于购并后的整合,企业应予以重视。

Purpose: Companies engage in business relationships for a variety of reasons, including specialization, product development, and building competitive networks. Research has demonstrated that mergers and acquisitions (M&As) may challenge ongoing business relationships. The purpose of this article is to investigate whether and how competition authorities consider business relationships when evaluating M&As.

Methodology: The article uses the documentation from 450 M&As reported to the Swedish competition authority to capture the way in which an authority evaluates M&As. The Swedish competition authority evaluation corresponds to other national and international evaluation procedures.

Findings: The findings indicate that the competition authorities neglect an important aspect of business life, namely companies forming business relationships. The competition authorities evaluate M&As on the basis of risk for price increases, and consequently disregard such issues as heterogeneity in demand and offerings, and values built into existing business relationships.

Originality/Value/Contribution: The article contributes to research on business relationships through exploring how a public authority deals with such relationships. It also contributes to research on mergers and acquisitions through examining how these activities are evaluated by competition authorities. Furthermore, the article contributes to competition research by reflecting on competition law concerning M&A regulations in relation to business relationships.

研究通过对相关文献的梳理,对建立学习型组织中最关键的团队学习的概念和特征进行了梳理。强调了团队学习必须从团队层面进行分析,不能将其与团队环境中的个人学习混为一谈。指出了团队学习的关键在于知识的获取、分享、存储和检索,并对四个环节及其相互关系进行了探讨。     

母语迁移对二语习得的作用与影响

在第二语言的学习过程中,母语知识与目标语的习得有着诸多关联。本文通过分析母语正迁移作用对二语习得的积极影响与负迁移作用对二语习得的消极影响,指出正确对待母语迁移作用的重要性。     

A good deal online: The Impacts of acquisition and transaction value on E-satisfaction and E-loyalty

Relying on Thaler's exchange theory, this research examines the unique effects of perceived transaction and acquisition values on consumer e-satisfaction and e-loyalty in an e-commerce setting, along with the moderating role of product/ service category. Overall, consumers' perceptions of transaction value lead to their e-dissatisfaction. Hence, obtaining a good deal does not have the same meaning and influence depending on the type of buying trip (exploratory or goal-directed). These results confirm Thaler's exchange theory's usefulness to analyzing the impact of perceived value on e-satisfaction and e-loyalty. Additionally, in a managerial perspective, this research underlines the importance of adapting promotional strategies to online contexts, since online purchase experience improves when there is an alignment between the customer's goals and the e-tailer’s online offering.
