国际视域下的中国金融ADR路径探析

金融危机的持续蔓延迫使各国纷纷审视金融法制的不足,尤其是在危机集中迸发的侵害金融消费者权益的乱象更使多国决心变革金融法制体系.危机中一些国家凭借优质的金融ADR模式成功遏制了损害的持续扩大,而后危机时代的ADR立法也展现出不一样的魅力.在经济全球化背景下,考察这些国家金融法制模式,引进非均衡构造的金融保护机制无疑能为我国扭转金融消费者的弱势、填补金融消费者保护的空白提供持续动力.     

日本金融ADR制度:发展与评价

为了保护金融消费者的利益,日本建立了中立、公正、有效、便利的金融ADR制度。该制度以解决金融消费者与金融机构间的具体金融纠纷为中心,提高了金融消费者对整个金融市场的信赖程度,增强了资本市场的活力。作为拓展金融纠纷解决方式的一种尝试,日本金融ADR制度将为我国相关领域的研究与立法提供有益参考。     

论ADR在农村多元化纠纷解决机制构建中的发展

随着我国依法治国进程的不断加快和农村经济的不断发展，农村纠纷在数量和类型上呈上升趋势。如何结合乡土中国的国情更好地疏导和解决纠纷，建立起多元化的纠纷解决机制，成为社会主义新农村建设中的一个难点和热点话题。     

The local market perception of firm risks during cross-listing events

We examine the local investors’ perceptions on the relative idiosyncratic risks around cross-listing events. We find that increases in relative firm-specific risks around the listing date are temporary and small for Level I American depositary receipts (ADRs) while Level III ADRs have the most variations. For exchange-listed ADRs from emerging markets, there is a significant decrease in the relative firm-specific risk in the year prior to listing, which increases during the cross-listing, while there are only significant increases in relative firm-specific risks for developed market firms. We interpret these as evidences of negative relationship between firm opaqueness and relative firm-specific risks.     

The effects of legal regime on the patterns of stock returns surrounding ADR earnings announcements

This study examines the effects of legal regime on the patterns of stock returns surrounding the earnings announcements of American Depositary Receipt (ADR) programs. My results indicate that the properties of accounting earnings associated with the local legal regime of an ADR program spill over to U.S. GAAP reconciled earnings. In particular, I find that the market reacts significantly to the earnings announcements of the ADR programs from common law countries whose accounting earnings are known to be more conservative and timely, but not to those of the ADR programs from code law countries where the earnings are known to be less conservative and timely.     

电子商务纠纷的非诉讼解决机制

频繁电子商务活动必然会带来各种纠纷,若纠纷得不到及时解决,必将制约电子商务的发展。电子商务的高效性也就决定了一种有别干传统权利救济方式及纠纷解决方式的新的纠纷解决机制。“在线纠纷解决机制”（Online Dispute Resolution）无疑应运而生,它既不同干传统的司法救济,也与ADR有所不同,它是一种兼具公平与效率的新的非诉讼机制。     

替代性纠纷解决机制在我国的适用

替代性纠纷解决机制在司法审判实践与民事诉讼法学理论研究中越来越引起学者关注,它在解决民事纠纷的过程中具有独特的价值。但是与此同时,替代性纠纷解决方式的适用过程中存在若干冲突性问题。从完善立法、构建有效的多元化纠纷解决的法律体系、对民事案件进行分流以及加强法院的监督职能等多方面入手去解决这些问题就显得十分必要。     

调整现值法在项目评价中的应用

本文对调整现值法中的筹资附带效应、规模和范围经济效应、外部效应、项目隐含的实物期权等的估价作了探讨,为评价复杂的投资项目提供了有益的分析思路。     

论我国医疗纠纷的ADR解决机制的发展与完善

我国现存的医疗纠纷ADR解决机制缺乏人财保障性、统一性、公平性和规范性,建议大力推广中立专业的人民调解机制,逐步完善合理规范的行政调解机制,规范发展公平正义的协商机制,有限发展"选择终局型"仲裁机制。
