企业治理结构中领导权结构的不同安排会改变经理人决策自由和创新意愿,进而导致企业创新活动的效率差异。但相对于股权激励、资本结构等其他机制而言,领导权结构与技术创新的关系是隐性和间接的。文章构建了一个有调节的中介作用模型来研究企业领导权结构对技术创新绩效影响。基于上海证券交易所2009~2011年上市公司的数据.发现对于中国上市公司而言,领导权结构的不同安排确实会对技术创新绩效产生显著影响:私营企业的CE0两职合一会比国有企业带来更好的创新绩效,并且这一关系主要是通过经营者时技术创新决策的支持而实现的。 相似文献

本文以2003-2004年我国上市公司的股权结构、资产状况、现金收入与发展前景等方面的数据,采用理论分析、描述性统计与多元回归假设检验等方法,分析了我国上市公司两权分离度的影响因素。结果发现:上市公司终极控制人两权分离度的大小主要取决于上市公司的企业规模、企业资产可控性、现金流状况、企业发展前景、第一大股东持股比例、终极控制人控制层级与股权性质。 相似文献

The audit market has changed significantly over the last few years. Clients' internationalisation and their extended service demands have required a diversification that can best be delivered by large and internationally-adjusted audit firms. This demand resulted in important mergers among national as well as with international audit companies going along with a growing concentration on the German audit market. This study is based on the 200 largest German listed stock corporations with respect to average stock capital for the years 1991 and 1994 and is concerned with the investigation into whether the concentration process continues and whether there are developments representing German particularities. 相似文献

国有公司的激励问题一直是我国国企改革的重点,但无论是历史的还是现实的激励模式,都游离了国家所有权公权的本质和私法行使的属性,因而不可能使激励机制发挥应有的作用。在剖析国家所有权属性的基础上,逻辑地推导出国有公司激励制度的价值取向——兼顾公平与效率,运用这一理论批判了现阶段国有公司主流的激励模式——年薪制和股票期权制,认为其不是解决国有公司激励问题的有效路径,进而提出"经济增加值(EVA)薪酬制"应成为我国国有公司激励的基本制度。 相似文献

This work explores and compares some basic properties of corporate growth process at both aggregate manufacturing level and
disaggregated sectoral levels. Using an extensive dataset on Italian manufacturing firms, we investigate which properties
of firm growth dynamics are robust under disaggregation. We compare the results obtained with three different definitions
of firm size, namely total sales, number of employees and value added. Our analysis suggests that while different sectors
are characterized by significant differences in firm size distributions, in the degrees of concentration and in the autoregressive
structure of the growth processes, there are also regularities which hold across all of them, such as the approximate unit
root nature of the growth process and the power exponential shape of the growth rates density. Together, these “stylized facts”
suggest challenging puzzles on the drivers of corporate growth and the resulting industrial structures. 相似文献

The person–environment fit theory posits that the term “environment” can be defined at different levels. This study delineates two environmental dimensions (strategic and organizational) and empirically examines the potential moderating effects of two strategic factors (intra‐ and inter‐regional diversification) on the relationship between two organizational factors (subsidiary ownership and host‐country experience) and MNE subsidiary staffing composition. The results indicate that strategic and organizational dimensions have impacts on subsidiary staffing composition. This study also finds that the interaction effects between strategic and organizational factors are significant only when there is congruence between demands from different environmental dimensions. 相似文献

Does greater CEO power come with more responsibility? Previous scholarly work in this field entails divergent results on this question. Based on the upper echelons theory and CEO power literature, this study aimed to explore the mechanisms underlying how different sources of CEO power, including structural, ownership, expert, and prestige power, affect firms’ corporate social responsibility (CSR) practices and whether such relationships are moderated by firm visibility. Using a panel dataset comprising 6604 yearly observations of Chinese publicly traded firms from 2009 to 2019, we found that structural power is negatively related to CSR practices and that expert power is positively related to CSR practices, whereas ownership power and prestige power have no direct relationship with CSR practices. Our results show that firm visibility weakens the negative relationship between structural power and CSR practices and strengthens the relationship between expert power and CSR practices, respectively. Overall, this study reconciles the mixed results of previous studies on the impact of CEO power on CSR and integrates the effect of firm visibility as a contextual factor. This article concludes with practical recommendations on how to manage CSR engagement. 相似文献
