In recent years India has been moving further in the direction of adopting an Anglo-American model of corporate governance. This decision, the result more of international economic and political pressures than public debate, in effect represents a new development strategy for the world's most populous democracy. In light of this situation, it is important to ask two basic questions: 1) why has the Anglo-American model of corporate governance been adopted? and; 2) can it be justified? This paper addresses the first of these questions by distinguish and examining three historical models of governance in India: 1) the managing agency model in the colonial period; 2) the business house model that emerged after independence, and; 3) the Anglo-American model which has recently been adopted (and is still emerging). The second question is approached through an examination of the "development impact" of the new model, as indicated by such measures as growth, employment and respect for shareholder rights. 相似文献

Attempts to explore empirically the link between HRM and firm performance are numerous. Yet, research on this link remains
restricted to large companies. Little is known about the extent to which the existing results extend to small businesses.
The purpose of the present study is to develop and test a conceptual framework linking HRM to financial performance that fits
small businesses. The central question is whether the development of an intensive HRM is profitable for smaller organizations.
For the development and optimization of the conceptual framework, we rely on human capital theory and bankruptcy prediction
models. Using structural equation modeling, we study the mediating effect of voluntary turnover and productivity on the relationship
between HRM intensity and one year lagged financial performance. The results show both productivity and profitability enhancing

This paper represents the attempt to define a methodology that can evaluate the degree to which companies' information systems correspond to needs determined by the objectives of sustainability the firm imposes on itself. The result is the creation of a general model which define the correct approach to evaluating information systems – a model which should be adapted to the specificity of each single company which intends to adopt it. In the chart indicated, we obviously have not considered activities connected to the implementation of the survey system, which are particular to each company's situation. The first part of the paper consists of an overall introduction to the approach that has been used to assess the (MIS) of Granarolo, one of the Italian companies involved. The case study contains a profile of the company, the analysis of its MIS referred to the three dimensions of sustainability, and an evaluation of the strong points and issues to be developed. This approach to evaluate the gap between desired requirements of an information system for sustainability and current data available in a firm, has proved its consistency and usefulness. It helps to understand where data are, which dimensions, spheres, stakeholders account for and what is the level of integration between different information systems existing in the firm. 相似文献

Islamic Banks (IBs) are considered as having ethical identity, since the foundation of their business philosophy is closely tied to religion. In this article, we explore whether any discrepancy
exists between the communicated (based on information disclosed in the annual reports) and ideal (disclosure of information deemed vital based on the Islamic ethical business framework) ethical identities and we measure
this by what we have termed the Ethical Identity Index (EII). Our longitudinal survey results over a 3-year period indicate the overall mean EII of only one IB out of seven surveyed to be above average. The remaining six IBs suffer from disparity between the communicated and ideal ethical identities. We further found the largest incongruence to be related to four dimensions: commitments to society; disclosure
of corporate vision and mission; contribution to and management of zakah, charity and benevolent loans; and information regarding top management. The results have important implications for communication
management if IBs are to enhance their image and reputation in society as well as to remain competitive.
Roszaini Haniffa is a Senior Lecturer and Head of Accounting and Finance at the Bradford University School of Management.

This paper raises the question of how ethical issues arising out of social inequities involving international business in
developing countries can be represented, and articulates a conceptual framework that identifies and maps four different approaches
to representing or making sense of such issues. A fieldwork-based case study on the child labor issue in Pakistan’s soccer
ball industry illustrates the argument that representational practices do matter, and that when representational approaches
go awry, they end up savaging the well-being of the poor in the developing world.

The Communication of Corporate Social Responsibility: United States and European Union Multinational Corporations 总被引:2,自引:0,他引:2
This study explores corporate social responsibility (CSR) by conducting a cross-cultural analysis of communication of CSR
activities in a total of 16 U.S. and European corporations. Drawing on previous research contrasting two major approaches
to CSR initiatives, it was proposed that U.S. companies would tend to communicate about and justify CSR using economic or
bottom-line terms and arguments whereas European companies would rely more heavily on language or theories of citizenship,
corporate accountability, or moral commitment. Results supported this expectation of difference, with some modification. Specifically,
results indicated that EU companies do not value sustainability to the exclusion of financial elements, but instead project
sustainability commitments in addition to financial commitments. Further, U.S.-based companies focused more heavily on financial
justifications whereas EU-based companies incorporated both financial and sustainability elements in justifying their CSR activities. In addition, wide variance was found in both the
prevalence and use of specific CSR-related terminology. Cross-cultural distinctions in this use create implications with regard
to measurability and evidence of both strategic and bottom-line impact. Directions for further research are discussed.
Laura P. Hartman is a Professor of Business Ethics and Legal Studies in the Management Department in the College of Commerce
at DePaul University, as Associate Vice President for Academic Affairs of the University and as Research Director of DePaul’s
Institute for Business and Professional Ethics. She is also an invited professor at INSEAD (France), HEC (France), the University
of Melbourne, the Université Paul Cezanne Aix Marseille III and the Grenoble Graduate School of Business. She has been published
in, among other journals, Business Ethics Quarterly, Business & Society Review, Business Ethics: A European Review, and the
Journal of Business Ethics.
Robert S. Rubin is an Assistant Professor in the Management Department at DePaul University’s Kellstadt Graduate School of
Business. He received his PhD in organizational psychology from Saint Louis University. His current research interests include
transformational leadership, leader cynicism, social and emotional individual differences, and management education and development.
