Compatibility and unlearning in knowledge transfer in mergers and acquisitions

Despite wide recognition of the central role of knowledge and its transfer, extant research has focused much on some important aspects of knowledge transfer and paid little attention to others. We focus on two underexplored issues in the knowledge transfer literature, namely: (a) compatibility of new knowledge with recipients’ needs, interpretations of its past experiences and its existing norms, and (b) organizational unlearning, which moderates the relationship between compatibility and extent of successful knowledge transfer. We examine different types and dimensions of knowledge compatibility and organizational unlearning within our proposed knowledge transfer process framework. We situate our discussion primarily within knowledge transfer in cross-border mergers and acquisitions. Based on the proposed model, we also offer propositions future research can test.     

Integration of family-owned business succession with turnover and life cycle models: Development of a successor retention process model

Family-owned businesses face a unique obstacle: continuation of the business through intergenerational transfer. Most family-owned businesses cease when the next generation does not enter the business. This paper develops parallels between failed intergenerational transfer and voluntary turnover. Based on past research, we develop a taxonomy of characteristics hypothesized to influence intergenerational transfer in family-owned businesses. We, then, integrate these dimensions with prominent turnover and socialization theories to propose a successor retention process model. Implications for research are described.

Planning Discourse versus Land Discourse: The 2009–12 Reforms in Land‐Use Planning Policy and Land Policy in Israel

Land policy and land‐use planning policy are two types of public policy pertaining to space. In general, land‐use planning policy deals with land‐use allocation and property rights, whereas land policy defines the land regime of a society. These differences have shaped a unique discourse for each of these policy types. The purpose of this article is to examine the differences and similarities between the land discourse and the planning discourse by analyzing two public campaigns conducted in Israel against two proposed reforms: the 2009 reform of the Israel Land Administration and the 2010–12 reform of the Planning and Building Law. The findings reveal substantive differences between the two campaigns, manifested in the nature of the leading players, the types of public activities they chose, and most notably in the discourses and the hierarchy of considerations they addressed. The findings raise profound questions regarding universal trends in spatial policy reforms; their influence on the activities of public coalitions and the discourses they adopted; possible future effects of these trends on the differences between the land discourse and the planning discourse; and the impact of these trends on the ability of groups and individuals elsewhere to influence spatial policies (such as planning and land policies).     

Risk management by SPV partners in toll road public private partnerships

ABSTRACT

Research on risk management in Public Private Partnerships (PPPs) has largely overlooked that the Special Purpose Vehicle (SPV) is made up of several project partners with different interests and objectives to manage risk. This paper makes an important contribution to this literature as it articulates SPV partners’ perceptions of how they manage risk in toll road PPPs. Our case studies show that the different skillsets of both the international and domestic partners with their sub-contractors provide opportunities for mitigating and managing risk but also pose potential problems in terms of measuring and obtaining value for money for taxpayers.
