Marriage Settlements

French couples may choose between two types of marriage settlements governing asset ownership after a divorce or inheritance: common property or separate property. A cooperative model considers the marriage contract as a means of providing for widowhood of the less endowed spouse. A second model addresses the probability of divorce and the production of a marriage good. The common property contract then becomes a means of inducing the wife to invest in the marriage good. Choice of contract, labor supply and fertility are simultaneous. Empirically we find that characteristics of the spouses such as relative age or differences in endowments influence the choice. So do the expected number of children and the wife's labor supply decision. This last decision is also shown to be influenced by the chosen settlement, while fertility is not.

Research on principal-agency of stockholders and managers under asymmetric information condition

In modem enterprises, a separation of the right of ownership and management results in asymmetric information problems between stockholders and managers. In conditions of principal-agency relationship, the game behaviors between principle and agency within enterprises are impacted by asymmetric information. This study discusses the game behaviors between stockholders and managers by using information economic theories from the perspective of asymmetric information. Based on the model of the principal-agency relationship between stockholders and managers, our research uses quantitative analysis to reveal how to achieve maximum profit expected of stockholders through an incomplete contract, under asymmetric information condition.     

劳动合同法实施对民营企业劳动关系的影响

规范劳动合同,是合理配置劳动力资源,稳定劳动关系,促进社会生产力永续健康发展的重要手段。《劳动合同法》颁布前,由于劳动法及相关的法律规章规定得过于原则,劳动合同制度落实得并不理想,尤其是民营企业存在不少问题。即将生效实施的《劳动合同法》,强化了书面劳动合同形式,扩大了无固定期限劳动合同及经济补偿金的适用,增加了许多法律责任的规定,必将对民营企业劳动关系发挥重大影响,促进稳定规范和谐劳动关系的建立,有力推动和谐社会的建设。     

浅谈企业信用风险管理

社会主义经济是信用经济,没有信用,就没有秩序,市场经济就不能健康的发展。加强企业信用管理的风险控制是现代企业的一项重要任务。进入WTO标志着中国经济更加开放,国际贸易更加纷繁复杂,在机遇透人的同时,企业也潜伏着越来越大的风险,尤其是企业信用风险。因此强化企业的信用风险管理,建立与完善企业内部信用风险管理体制,仍然是企业面临的一项重要课题,笔者从多方面阐述了企业信用风险形成的原因以及如何建立风险管理机制等问题。     

析证券投资基金的治理结构

投资基金有两种类型:契约型与公司型。两种投资基金的治理结构所依据的法理并不同,契约型基金是依据信托而为构造,公司型基金当然是依据公司法而为构造。但两种基金的治理结构仍有相似之处,一般的基金治理结构都包含基金投资人、基金管理人、基金托管人,究其实,公司型基金是基金主体化的类型。我国在大力发展基金业中出现了各种观点,结合《证券投资基金法》,从法学的角度澄清概念间、主体间的关系。     

高科技企业的合约特征与企业家性质

本文试图说明，从传统企业到高科技企业在契约性质上实现了从劳动合约到知识合约的转变，高科技企业的合约特征是通过知识合约实现企业家的创新精神，是一种创新行为的特定制度安排。     

Do the Forward Sales of Real Estate Stabilize Spot Prices?

We examine the effect of forward sale (pre-sale) activities on the volatility of spot prices in the real estate market. The abundance of pre-sales data and major changes in regulatory control on the pre-sale market during the 90's in Hong Kong allow us to undertake empirical tests using Hong Kong's real estate data. Our results show that the volatility of spot prices increased significantly after forward sales were severely dampened by regulatory control measures introduced in 1994, but decreased again when the measures were partly relaxed in 1998. The results contribute to the long lasting debate on whether the introduction of a futures market reduces the volatility of spot prices. Previous studies were mainly conducted in markets with low transaction costs, notably financial markets. By utilizing the unique regulatory changes in the pre-sale market of Hong Kong, we are able to conduct an experiment on the conditional volatility of spot prices in a high information-cost environment, thereby shedding light on the important role of forward housing contracts in providing price expectation information for spot trading.     

基于"综合谈判力"的企业所有权安排

现代企业理论打开了“企业”这一“黑箱”,为理解和创建现代企业制度提供了有力的理论支撑。本文通过对企业各要素所有者谈判力三个方面,即:签约人自身实力、签约人相互关系地位、签约外部环境的具体分析,阐释了各要素所有者对企业剩余的分享,并以此初步构建一个以企业要素所有者“综合谈判力”为基础的企业所有权安排分析框架。     

Use of the written contract in long-lasting business relationships

While contracts are signed in most business dealings, they are seldom used. These contracts are drawn up for different purposes: as a communication tool, to reduce uncertainty, or simply because it is customary. This study investigates how contracts are used in long-lasting business relationships and what factors influence the use of contracts. A number of studies claim that the negotiation process and the relationships developed during that process influence the subsequent use of contracts. In many cases, parties conduct business without contracts as they develop trust-based relationships. A conceptual framework is developed, which is then used to analyze three in-depth case studies. Findings show that the contract itself, rather than the negotiation process, has the greatest influence on how the contract is used.     

国际工程设计与承包市场的相关性分析

依据1995～2004年美国《ENR》杂志公布的数据，运用SPSS软件从国家、地区以及全球的角度，对国际工程设计营业额与工程承包营业额的相关性进行了定量分析，并对分析的结果作了相应的解释。中还结合我国(除港澳台外)国际工程设计和承包市场相关性的特点，提出了发展我国国际工程设计与承包业的建议。
