Does good governance prevent bad strategy? A study of corporate governance,financial diversification,and value creation by French corporations, 2000–2006

Building on and extending prior research, we propose a comprehensive framework which posits that free cash flow moderates the impact of corporate governance on financial diversification. We argue that because it increases CEO perceived risk, alignment devices increase rather than decrease financial diversification. In a sample of 59 publicly traded French corporations during 2000–2006, we show that financial diversification negatively impacts shareholder return and firm value. We obtain support for several of our hypotheses: at high levels of free cash flow, CEO variable compensation increases financial diversification, whereas chairman/CEO non‐duality reduces it. In contrast, independent directors increase financial diversification at low values of free cash flow (although weakly). We also find that ownership concentration only reduces financial diversification when free cash flow is low.Copyright © 2012 John Wiley & Sons, Ltd.

当前,统一、科学的案件质量评查机制尚未形成,检察机关案件质量评查机制存在分散化、标准不统一、奖惩机制不完善等问题.本文围绕案件质量评查机制的建构、内容与范围、程序与标准、评查成果转化等重点环节,提出相应的对策,以实现对案件的动态监控与质量管理,达到规范执法行为、促进公正执法的目的.     

Executive compensation in less regulated markets: the impact of debt monitoring

This paper shows that in the lightly regulated Alternative Investment Market (AIM) voluntary corporate board structures might not reduce agency costs between shareholder and executive directors. In this less regulated market, we find that the extent of debt affects executive pay. In addition, the theoretical determinants of executive pay affect CEO and other executives’ pay and incentives differently in this market. We find no evidence that debt levels affect CEO pay in a matched sample of Main Market firms. Our results suggest that debtholders could be better monitors of executive directors’ actions, in comparison to voluntary governance committees in less regulated markets.

网络舆情的云计算监测模式分析与实现

针对传统网络舆情监测方式的不足,选取较为成熟的云计算架构,采用统一收集各 局域网日志,并对海量数据使用云计算技术进行存储和分析的方法,提出了一种网络舆情云 计算监测模式及其具体实现方法,并通过实验给出在设备配置、分析效率等方面有参考意义的 实验数据。     

高水分稻谷春季通风干燥试验

春季收购的新粳稻谷由于水分偏高,采用在粮库内铁路专用线站台上包打围临时储存,利用二机二风道先行降水到15．5％以后,再转入高大平房仓,利用谷物冷却机平衡水分、粮温,使其安全过夏;与烘干相比,能增收节支,实现高水分粳稻安全储藏,提高粮库经济效益。     

Physicians' appraisal of mobile health monitoring

This study addresses what factors influence and moderate Japanese physicians' mobile health monitoring (MHM) adoption for diabetic patients. In light of the multilevel sequential check theory, the study tests whether novelty seeking, self-efficacy, and compatibility moderate the effects of overall quality, net benefits, and perceived value of MHM on physicians' usage intention. Self-efficacy serves as an evaluation of resources for coping with an event, while compatibility involves the judgment of an event's congruence with a motive or goal. The study results support four out of nine moderation hypotheses. Our findings clearly indicate that the impact of overall quality and net benefits on physicians' intention to use MHM would be significantly strengthened by self-efficacy and compatibility, but not by novelty seeking.     

The choice of control devices in franchise chains

This article provides evidence on the determinants of the intensity in the use of three control types employed in franchise relationships: outcome-, behavior- and social-based control systems. This is accomplished by the integration and testing of two approaches, the agency and organizational theories. The results support the predictions of both theories for control strategies in franchise chains, and so it appears that the agency and organizational views are complementary in the field studied. The findings also show the existence of substitutabilities between the control types studied, and so such control types constitute a system of interdependent elements.
