跨国公司控制合资子公司的机制探析

本文通过系统性思维,构建出跨国公司(MNC)母公司对合资子公司(JV)的控制机制框架;根据现有文献和实践的最新发展,对股权控制和非股权控制做了补充;为了进行更深入和系统的研究,尝试提出股权控制和非股权控制之间的互动关系、内部控制、外部控制等问题,并进行一些基本的探讨,为MNC母公司对JV的控制机制提供一个较为完整的视角。

本文综合分析了破产宣告地域效力的属地主义原则、普及主义原则与折衷主义原则及有关司法实践 ,并提出了我国关于破产宣告地域效力的立法构想。     

我国海洋运输货物保险“一切险”条款有待完善

《海洋运输货物保险条款》规定，“一切险除包括平安险和水渍险的各项责任外，还负责被保险货物在运输途中由于外来原因所致的全部或部分损失”，而对于“外来原因”条文中却没有作出明确界定，对此我国保险界历来颇有争论。本文从PICC的法律制定依据、相关的法律规定以及国际保险行业惯例三个角度分析了此处外来风险的界定问题。

企业不是一个独立的封闭体,而是一个与外界存在着各种联系的开放性组织,这就决定了和谐企业的建设也绝对不仅仅是企业内部和谐的建设问题,而且还包括企业与外部环境之间和谐的构建.企业与外部环境之间的和谐称为企业的外部和谐,包括企业间的和谐、企业与政府部门及其他组织之间的和谐、企业与自然环境、社会大众之间的和谐以及企业与国际社会之间的和谐.构建企业外部和谐,企业是主导力量,政府部门也责无旁贷,行业协会在企业外部和谐的建设中也能起到较大作用.     

国有企业微观,宏观,外部环境改革的协调发展

针对当前存在于国有企业改革中的许多问题，笔者认为：根本原因在于各方面协调配套改革的不平衡性、滞后性，致使各项国有企业改革措施收不到应有的成效，同时也不利于国有企业改革进程中逐渐暴露的深层次矛盾的进一步解决。为此，未来的国有企业改革应注意搞好微观层面和宏观层面以及外部环境诸多方面改革的协调配套关系，既要使国有企业微观制度和宏观国有资产管理体制改革统一，协同推进，又要综合考虑相应的政治、经济、社会等方     

Current validity of the Delphi method in social sciences

The Delphi method is a popular technique for forecasting and an aid in decision-making based on the opinions of experts, which has been in existence for over half a century. This work evaluates its methodology and reviews its validity in the present day, especially in the area of Social Sciences. Three recent applications in this field are also explained, professional in nature, which have some characteristics that are not frequent with respect to other Delphi studies published. The main aim of two of these studies was to provide input for economic or statistical quantitative models, using the judgement of expert groups, while the third study aimed to analyse a complex social reality by means of a Policy Delphi in order to obtain reliable information before taking a policy decision. These applications highlight how this technique may be adapted to different social realities and requirements, making a positive contribution to social progress, provided it is applied with the necessary methodological rigour and with a good knowledge of the social medium in which it is being applied. Finally, there is an explanation of a number of lessons learned from the theory and aforementioned experiences, which may contribute to the successful outcome of a Delphi exercise.     

On the nature and causes of business fluctuations in Italy, 1861-2000

Since Unification (1861), Italy has experienced approximately 20 business cycles. In the same period, the country’s economic structure has changed dramatically. This essay analyses the nature and causes of business fluctuations in Italy over one and a half century emphasizing the role of structural change in shaping each cyclical episode. A mix of real and nominal factors, structural change, and the evolving financial conditions of firms and banks makes every cycle a ‘historical episode’ in and of itself.     

South Africa: Macroeconomic challenges after a decade of success1

More than halfway through the decade, the South African economy has done very well. This report asks whether such achievements provide grounds for complacency. In particular it discusses the current account challenge in light of the Accelerated and Shared Growth Initiative for South Africa (ASGI‐SA) program. Our assessment is that a cautionary note on the need to reduce external imbalances is needed. We provide policy recommendations to minimize the negative impact of a possible sudden stop of capital inflows. On the consistency of ASGI‐SA program, we note that, given South Africa's recent employment and productivity performance a large investment program would be required to deliver the desired growth rates. In our view this imposes a large burden on public investment and on the current account itself.
