A control block trade can be explained by the expectation of financial gains, shared by all shareholders, or by the expectation of private benefits, exclusive to the buyer and possibly at the expense of other shareholders’ rents. The market for corporate control contributes to social welfare when it improves the efficiency of the allocation of resources. When the objective of a block transaction is private benefits, social welfare may be negatively impacted as minority shareholders could withdraw from the market. Therefore the estimation of private benefits would allow the efficiency of the market for corporate control to be assessed. Specifically, the aim of this paper is to calculate private benefits in the Spanish market for partial control. Using a sample of partial control transactions over the period 1990–2016, we find that the median of private benefits is negative, therefore it appears that there is no inefficient use of resources in the Spanish partial control market as a whole, however private costs are detected. The variability of private benefits is explained in a significant way by variables related to the control structure of the target firm, such as the controlling position of the buyer after the transaction, the contestability of control and the cross-shareholdings between the buyer and large shareholders. Performance and the size of the firm are significant as well.  相似文献

This paper examines the effects of disclosing greenhouse gas (GHG) information mandatorily on the cost of equity capital (COC) using a longitudinal unbalanced panel database of the United Kingdom's FTSE 350 firms for the period 2011–2016. We use a nonlinear panel quantile regression (PQR) model to examine the relationship between GHG disclosure (GHGD) and COC in the United Kingdom. This technique was supplemented by conducting a two-step generalised method of moment (GMM) estimation to address any concerns related to the potential existence of endogeneity problems. Our findings suggest that high-level GHGD appeared to be negatively associated with COC up to a certain level, which is known as the turning point; then, any increase in GHGD is likely to increase the COC. This means that the nonlinear association between GHGD and COC is evidenced in our study and takes a U shape. Likewise, our findings are associative of a moderating effect of the 2013 carbon disclosure regulation (CDR) on the GHGD–COC nexus. We argue that mandatory GHGD and GHG risk are linked so that those companies that are associated with higher GHG risk have a tendency to be better disclosers. Consequently, we urge regulators to design GHGD regulations in a way that mirrors corporate environmental risk and leads to a lower COC in order to align the interests of corporations with those of the society at large.  相似文献

Based on social capital theory and the family-firm context, this paper studies familiness' composition and the result of the overlap of the family and firm systems, analysing their influence on the internationalisation strategies of family firms. In this relationship, the stakeholder engagement becomes at the same time an antecedent and a result when developing family businesses' strategies, being one of the most relevant the internationalisation strategies. Prior research focused on familiness as the result of proxy variables such as the percentage of ownership and management in family hands, or business size, instead of as psychological variables resulting from shared organisational culture and social interactions. Through a qualitative study based on 12 interviews of general managers and/or export managers of Spanish family olive oil mills, this study asserts that the level of familiness influences internationalisation strategies, the reasons underlying a business becoming international and its commitment to activities abroad being the role of stakeholders crucial in those interactions. The higher the level of familiness, the more likely the family business internationalisation and the higher their levels of international commitment. Additionally, the higher the concern about their stakeholders, the higher their levels of international commitment. The family businesses' concern for their stakeholders and their international commitment share a reciprocal relationship. The results regarding the relevance of familiness as social capital resources in sustaining competitive advantages support the decision to promote, develop and nurture social capital when a family business goes international.  相似文献

Economic institutions are linked to economic growth because they create conditions favourable for production and exchange. Institutions can give a country comparative advantage in producing some goods. If its trading partners lack such institutions, it can still enjoy their benefits by importing these goods. Some institutions, such as intellectual property rights, have non‐excludable benefits because the resulting production is intangible, non‐rival, and often publicly disclosed. The profits, or surplus, that result, however, is rival. Foreign countries can ‘free ride’ on this benefit by misappropriating rival surplus through infringement. This article develops a theory of institutional free riding in which firms in one country free ride on the benefit of foreign institutions to the detriment of their competitor firms and their countries' institutions. It evaluates the incentives of firms and governments for this free riding, its effects, and potential responses to mitigate these effects.  相似文献

以中国“沪港通”交易制度的实施为政策背景,采用多时点双重差分模型,考察资本市场开放对标的公司内部控制质量的影响,研究发现,“沪港通”交易制度的实施显著提升了公司的内部控制质量,在控制其他因素并经过安慰剂检验、去除A+H股影响、改变周期范围等稳健性检验后,结论依然成立。机制检验表明,“沪港通”主要通过内部和外部两种机制对公司内部控制质量产生影响,其中,内部机制是对股价波动性风险控制,外部机制是审计师声誉风险与政府部门监管。  相似文献

在资本结构、股权结构及市场价值三类多重关联关系下,研究了我国PE/VC持股对公司财务风险影响的多重传导效应。实证检验表明:我国PE/VC的介入会加剧其持股公司发生财务风险的危机,且在该影响过程中,资本结构波动和市场价值波动会增加公司财务风险,而股权结构波动可抑制公司财务风险发生。同时,股权结构波动的遮掩效应最为显著,资本结构波动次之,而市场价值波动的遮掩效应最弱。此外,这三类潜变量在该影响过程中的多重传导效应存在上市板块差异。  相似文献

本文以人力资本扩张为切入点,构建了最低工资、人力资本扩张影响企业成本加成的理论框架,并使用中国1998-2013年284个地级市的工业企业数据进行了经验研究。结论显示:最低工资上调会显著抑制企业成本加成的提升,削弱了企业的市场势力,但该抑制效应在人力资本扩张的背景下得以缓解。同时本文通过进一步分组回归发现,最低工资标准与人力资本扩张对企业成本加成具有明显的异质性影响。因此,适度、稳定调整最低工资标准及推动人力资本质量的整体提升有助于保持企业成本加成能力及其动态竞争力。  相似文献

随着“二代现象” “阶层固化”等社会现象的热议,家庭资本是否影响个体社会阶层的获得引起人们思考。本研究基于CGSS2017调查数据,利用多元线性回归分析方法,从家庭经济资本、家庭文化资本、家庭社会资本三个方面考察其对子代社会阶层获得的影响。研究发现,家庭经济资本对社会高阶层获得有显著促进作用;家庭文化资本中,母亲教育程度对子代社会阶层获得有积极作用,但随时间推移这一作用的显著性消失;家庭社会资本中,母亲的职务级别对于子代社会阶层获得具有积极作用,这一作用同样随时间推移不再具有显著性。  相似文献

代际人力资本投资是经济增长的重要源泉。但实证显示,相较于男性而言女性更愿意将家庭资源配置在子女教育上。通过构建人力资本代际传递模型,从劳动生产率折旧率的角度解释女性对子代人力资本投资的偏好,并利用2014年中国家庭追踪调查数据、工具变量两阶段实证发现劳动生产率折旧率更高的女性当其家庭决策地位提升时,该家庭的代际人力资本投资比重将显著增加,且存在城乡差异。但是,不论城乡,男孩因未来劳动生产率更高而获得更多的人力资本投资,这表明针对妇女开展扶贫项目,提高妇女在家庭中的地位将更加有助于增加子代人力资本投资。  相似文献
