This article deals with the relationship between business and government during the Third Reich in making policy toward attempts by German companies to protect their foreign assets. In contrast to the widely held view of many professional historians and journalists, we argue that business engaged in these efforts largely without governmental assistance, indeed often in the face of resistance from the regime, since for the most part companies set up structures that were contrary to the wishes of the National Socialist political bureaucracy. Although some of the evidence we present here is known to historians, much of our interpretation of the data has not penetrated professional accounts of the period. The cloaking story, moreover, has implications for contemporary multinational business. As the Second World War approached, fear of expropriation became a more important motivation for cloaking, but even in the late 1930s German managers created these structures for a variety of commercial reasons. Firms are still confronted by a myriad of pressures and political risks, not the least of which are those posed by their own home countries' actions that affect the value of their foreign assets. We argue here that one of the commercial objectives of German businesses' cloaking efforts was to reduce the political risk of the actions of the country in which they were incorporated. 相似文献

Companies spend time and money training employees; in the case of a merger or acquisition, they spend resources such as cash, stock, and debt. It makes sense, then, that they do not want an employee to take the expertise the company underwrote to a competitor. Thus, employment contracts will often include non-compete clauses—sometimes known as covenants not to compete—which state that the employee cannot move to a competitor for a certain period of time. Though not all employees have the heightened fiduciary duty of board members and officers, they frequently have signed agreements that, at least on paper, restrict their employment mobility. Not only have officers and board members often signed such agreements as well, but they also have fiduciary duties further restricting their new employment plans. In decades of teaching courses in the legal environment of business as well as in business ethics, no topic flummoxes students more than this one. After all, in a free country, a person should be able to work where they wish, right? How can such restrictions be fair? Legally and ethically, this is a complicated area and one in which the old lawyer’s answer—it depends—is true. This article provides some parameters for employees and employers to know when fiduciary duty precludes certain employees from moving to a new company, including when those are legal in what ways they are fair. 相似文献

This study examines the impact of business group (BG) affiliation on international sales intensity and diversification in small and medium-sized enterprises (SMEs) by using a multi-country sample of over 13,000 SMEs from 34 European countries. Drawing on the revised Uppsala internationalization model and network theory, this paper suggests that the effects of BG affiliation on international sales intensity and diversification depend on the geographical dispersion of the BG network ties, the size and the age of the firm, and the institutional support in the home country. Thus, we find that interfirm networks in the form of BGs are a double-edged sword that can have both favorable and unfavorable consequences for international sales, depending on the geographical dispersion of the BG’s ties. In addition, the results reveal that BG affiliation is more beneficial for smaller SMEs and SMEs in countries with lower institutional support that are more dependent on the network resources embedded within BG networks. 相似文献

The 2007 winner of the International Award for Entrepreneurship and Small Business Research is the Diana Project team (Candida Brush, Nancy Carter, Elizabeth Gatewood, Patricia Greene and Myra Hart). The Diana Project
builds on the vast experience of the team in the field of entrepreneurship in general and women entrepreneurship, business
growth and venture capital in particular. The Diana Project has investigated the supply and demand side of growth capital
for women entrepreneurs. The research contributes to entrepreneurship theory as well as to practice, filling a void in knowledge
on growth-oriented women entrepreneurship. In this article we present and discuss the research contribution of the Diana Project,
in the areas of entrepreneurship, women entrepreneurship and venture capital. We specifically discuss the value of researching
a specific group of women entrepreneurs, those who want to grow their businesses, that very clearly demonstrates the positive
potential of female entrepreneurship. The Diana Project has also moved research on women’s entrepreneurship forward since
its framework does not treat women entrepreneurs as “other,” i.e., the project does not presuppose that women’s entrepreneurship
is similar to or different from men’s entrepreneurship. It assumes that women’s entrepreneurship is entrepreneurship and studies
it from that point of view.

Research. Sara Carter is professor at University of Strathclyde. Both have written extensively in several of the areas covered by
the Diana Project. The prize is awarded by the Swedish Foundation for Small Business Research (FSF) and the Swedish Board
of Industrial and Technical Development (NUTEK). An important aim with this prize is to attract broader attention to this
research field. A precondition for choosing the winner of the award is that the research for which the award has been granted
is a significant contribution to the theory and empirical understanding of entrepreneurship and the importance of entrepreneurship,
new firm formation and small businesses in economic development. Besides the honor, the prize consists of SEK 0.5 million

In 1959, the journal “elektronische datenverarbeitung” (electronic data processing) was founded. Later it was renamed as “Angewandte
Informatik” (applied computer science). Due to the diversification of computer science and the emergence of the discipline
“business and information systems engineering” (BISE) the journal was focused on this discipline. Accordingly, the name was
changed to WIRTSCHAFTSINFORMATIK (the German word for BISE). Fifty volumes of the journal reflect major developments and varying
topics of the discipline. By installing a broad editorial board comprised of researchers and practitioners as well as by cooperation
with the major scientific associations the journal became the central publication in the field. The paper gives a survey of
organization, design, thematic focuses, and important subjects. Thus, by browsing through the contents of the journal the
development of the scientific discipline Wirtschaftsinformatik is illustrated.

This paper deals with the generation of Business Ideas (BI) by academics. It investigates organizational factors affecting the process through which new ventures are established by academics and are likely to affect their performance. The BI Market Attractiveness and the BI Articulation are addressed as two characteristics of academic spin-off companies which are likely to lead to their success. Two research hypotheses are formulated: (a) that the BI Market Attractiveness at the time of establishment of the new venture is positively influenced by the market orientation of the academic founders, and by their frequency of interaction with external agents; (b) that the BI Articulation at the time of establishment of the new venture is positively affected by the articulation of roles, and by the degree of prior joint experience of the academic founders. We test our hypotheses on a sample of 42 Italian academic start-ups. Implications for both universities and academic entrepreneurs are discussed. 相似文献

Using 150 interactions between entrepreneurs and potential investors, we study early stage business angel decision making. We show that contrary to the majority of past research that suggests they should, angel investors do not use a fully compensatory decision model wherein they weight and score a large number of attributes. Rather, they use a shortcut decision making heuristic known as elimination-by-aspects to reduce the available investment opportunities to a more manageable size. If an opportunity is diagnosed with a fatal flaw, it is rejected in the first stage of the decision making process, but all opportunities with no fatal flaws do progress beyond that stage. 相似文献
