近年来社会责任问题受到了社会的普遍关注,本文通过对利益相关者理论演进过程的分析,提出了利益相关者模型。在此基础上,选用内部和外部主要利益相关者的财务数据,分等级评分衡量企业社会责任绩效表现,并选用盈利能力和成长能力指标衡量财务绩效进行实证研究,证明了企业社会责任和财务绩效存在正相关关系。 相似文献

管理者政治关联在强化企业竞争优势的同时,也会弱化公司治理机制的有效性.本文基于公司违规行为发生及管理者被迫离职两个方面,利用Bivariate Probit模型和Logit模型研究管理者政治关联对公司治理有效性的影响.研究发现,拥有政治关联的管理者所在企业更加倾向发生违规行为,尤其是民营企业;管理者的政治关联能够降低其违规行为被稽查处理的可能性,尤其是国有企业.政治关联有助于管理者建立职位壕沟,降低管理者被迫离职的概率;而企业违规行为被稽查后,管理者被迫离职的可能性将显著提高.文章的研究结果证明,管理者政治关联会弱化企业发生违规行为的事前监管,同时也会降低企业违规行为的稽查在事后监管中的公司治理效果. 相似文献

We propose that cross-listing is associated with better environmental, social, and governance (ESG) performance, because cross-listed firms adopt ESG practices to mitigate the liability of foreignness (LOF) in foreign financial markets. Institutionalization processes have made ESG practices important for managing challenges associated with the LOF. With tests involving the S&P Global 1200 index, we show that cross-listing improves corporate social responsibility (CSR; i.e., social and environmental dimensions) but not corporate governance. The effects of cross-listing on CSR also depend on investor protection regimes of listing destinations: Stronger regimes correspond with poorer CSR performance, suggesting that they limit managerial discretion. 相似文献

One of directors’ key fiduciary duties is to set the firm’s direction and then vet the strategy proposed by the CEO. Despite this, McKinsey reports that the majority of directors feel they do not understand their firm’s strategy, and even if they do understand it, they do not feel they have the desired impact on their firm’s strategy. This article argues that this shortfall stems from a failure to cross the chasm between CEOs and directors. Many organizations invest periodically in a new corporate visual identity (CVI). This study investigates the main effects of CVI changes in four organizations, taking into account three independent variables: stakeholder type (employees vs. consumers), the specific organization, and communication about the CVI change. The results show that CVI changes had positive effects on CVI appreciation and identity/image. However, the effects were different for employees and consumers and differed between specific organizations. Furthermore, adequate communication about the new CVI appeared to be important for people’s appreciation of the CVI. The implications of these findings are discussed. 相似文献

We model contracting for joint production between workers and shareholders when investment in knowledge is non‐verifiable and the resulting specific human capital embedded in the workers is non‐tradable. The model explains how the effective cost of human capital services will vary depending on whether the investment in knowledge is financed by the workers or by the shareholders. We apply the results of the modeling to identify which firms are expected to gain and which to lose from posted trends in higher employability and lower empowerment of workers in modern market economies. Finally, we present conditions on the self‐interest of current shareholders to empower workers as a way to stimulate their investment in firm‐specific human capital. 相似文献

This study evaluates how state regulation of noncompetition agreements affects merger and acquisition activity. Noncompetition agreements put restrictions on postemployment activities, thereby reducing management mobility and forcing top managers to bear the long-term consequences of their corporate decisions. In this sense, state regulation of noncompetition agreements functions as a mechanism to align management's interests with those of the shareholders when management makes major corporate decisions. To examine this hypothesis empirically, this study tests whether the legal enforcement of noncompetition agreements across states affects the choice of payment methods, the premium paid for targets, and the acquirers' abnormal returns on their merger or acquisition activity. The results suggest that stricter enforcement of noncompetition agreements significantly reduces the likelihood of using stock in takeovers and the premiums paid for targets. In addition, the study documents that stronger enforcement of noncompetition agreements is related with more favorable market reactions for large acquirers. 相似文献
