本文构建了一个小股东、控制股东和经理人之间的双层委托代理理论分析框架来分析我国上市公司中同时存在的两类代理问题:股东与经理人的利益冲突以及控制股东与小股东的利益冲突。在此基础上着重研究了控制股东掏空行为与公司股权结构及公司价值之间的关系。通过分析指出:(1)均衡状态下,公司的所有权集中程度由公司股东所受投资者法律保护程度决定。随着投资者法律保护程度的增加,小股东最优的投资数量也会增加,公司的所有权结构趋于更加分散。(2)在公司的现金流所有权结构确定的情况下,由股东和经理人之间的信息非对称性引起的股东和经理人之间的利益冲突会减少公司价值,使得控制股东和小股东的利益均受到损害。控制股东掏空资产收益的比例随着其自身现金流所有权的增加而减少,随着其控制权和所有权之间的分离程度而增加,随着投资者法律保护的增加而减少。(3)相对于公司中仅仅存在股东和经理人之间的利益冲突的情形,控制股东的掏空行为会进一步降低公司的价值,而且降低的程度会随着控制股东的控制权和所有权的分离程度的增加而增加。(4)当控制股东完全不能进行掏空时,即使小股东仍然面临由于公司中的第Ⅰ类代理问题引起的利益损害,但均衡时,由于控制股东和小股东之间不存在利...  相似文献

Research in collaborative interorganizational relationships has typically focused on the value of these relationships to a specific supply chain partner. Furthermore, the phenomenon has rarely been explored in a global setting. Using primary data from 126 cross‐border dyads, we investigate the influence of relational learning on the relationship performance of both the buyer and the supplier, testing the contention that both members (1) benefit from relational learning efforts and (2) enjoy equal pieces of the benefits pie. We find that three specific types of relational learning (information sharing, joint sensemaking, and knowledge integration) influence relationship performance, and that these dimensions of relational learning affect supply chain partners in different ways. Although value creation in business relationships has taken an important position in the literature, yet scant attention has been paid to the precise nature of creation or destruction of value in b2b customer-oriented selling. Moreover, very few empirical studies in the b2b customer value research have focused on emerging markets, especially the BRIC countries. This study carried out in the context of small and medium sized firms in India, empirically examines from the SOCO perspective (Saxe and Weitz, 1982), value creation in customer-oriented selling, and value destruction in sales-oriented strategies. We model value creation, relationship development, and customer satisfaction as direct and indirect consequences of salesperson's customer orientation. Based on a sample of 249 small and medium sized Indian firms, we show that salesperson's customer orientation directly leads to value creation and relationship development with customers. On the other hand, a sales orientation destroys value, although it may lead to relationship development in the short-term. We also found that customer satisfaction was unrelated to both types of salesperson's orientations. Our study has considerable impact for small and medium sized businesses in emerging BRIC markets such as India, as it throws light on how supplier firms can leverage their salesforce to create value creation with their customers.  相似文献

The purpose of this paper is the empirical analysis of supply chain risk management practices. The analysis is based on a survey with 67 manufacturing plants conducted in the German automotive industry. After investigating the vulnerability of supply chains in general and examining key drivers of supply chain risks, the paper identifies supply chain risks by analyzing their likelihood to occur and their potential impact on the supply chain. The results are visualized in the probability-impact-matrix distinguishing between internal and external supply chain risks. Furthermore, instruments for dealing with supply chain risks are investigated. Therefore, the impact of supply chain risk management on performance is tested. In order to distinguish between companies with a high degree of supply chain risk management and those with no or only limited implementation the plants are grouped by means of a cluster analysis based on factors reflecting the instruments of supply chain risk management. In particular, groups are created representing two different approaches to deal with supply chain risks, i.e. reactive and preventive supply chain risk management. The clusters are investigated concerning differences in terms of performance criteria. The analyses reveal that companies with a high implementation degree show a better supply chain performance. Furthermore, the results show that the group using reactive supply chain risk management has higher average value in terms of disruptions resilience or the reduction of the bullwhip effect, whereas the group pursuing preventive supply chain risk management has better values concerning flexibility or safety stocks.  相似文献

One of the most challenging tasks in today's food industry is controlling the product quality throughout the food supply chain. In this paper, we integrate food quality in decision-making on production and distribution in a food supply chain. We provide a methodology to model food quality degradation in such a way that it can be integrated in a mixed-integer linear programming model used for production and distribution planning. The resulting model is applied in an illustrative case study, and can be used to design and operate food distribution systems, using both food quality and cost criteria.  相似文献

The previous research of capabilities development has largely focused on the established capabilities, i.e., quality, delivery, cost and flexibility, although there are a wide variety of possible dimensions. Few studies report the accumulation effect about adding new capabilities on an established base in a different strategic setting. Motivated by the increasingly important strategy of value co-creation with customers, this study aims to examine the patterns of capability development with consideration of adding service and customerization capabilities. Taking a downstream-focused view and based on the data collected at Chinese firms, this study extends the cumulative theory to the scenario of value co-creation with customers by identifying the mutual enhancement effect when adding new capabilities on an existing base. Specifically, this study finds that firstly, new capabilities (i.e. service and customerization) and established capabilities (i.e. flexibility and delivery) are mutually supportive in value co-creation scenario; Secondly, flexibility plays a primary role to amplify other capabilities in the new strategy; Thirdly, the capabilities development follows a sequence of flexibility, delivery, service and customerization. The findings of this study also enrich value co-creation studies by offering proposed capabilities development pattern which facilitates strategists to operationize the concept of value co-creation with customers and helps guide companies to take both upstream-focused and downstream-focused views of capabilities development to excel in coming competition.  相似文献

The growing importance of logistics activities that span the boundaries of supply chain firms has put an emphasis on supply chain relationship management. Based on the existing marketing concept on relational benefits and the supply chain management literature on consumer satisfaction, this research evaluates logistics service performance from the eyes of manufacturers. Using data collected from US manufacturing firms, the study has identified the factors that influence manufacturer's satisfaction, as well as the key to understanding the benefits-satisfaction-loyalty triads in supply chain relationships. The contribution of the paper includes developing a conceptual model, adding new theoretical insights into benefits-satisfaction-loyalty triad that has been applied by manufacturers and LSPs, and providing some meaningful perspective on how to strategically assess the use of logistics providers so as to transform a logistics firm from a tactical service provider to a hand-in-glove strategic partner.  相似文献

Imperfect items in the raw material and production stages of a supply chain directly impact the coordination of the product flow within a supply chain. In response to this concern, production and inventory lot sizing models, which incorporate imperfect items into their formulation have become an important and growing area of research. The contribution of Salameh and Jaber (2000) is one of the fundamental models on lot sizing when procured items are of imperfect quality. Over the past decade, there has been a noticeable amount of interest in the EOQ model for imperfect items that was set forth in Salameh and Jaber (2000). Several researchers have published adaptations and extensions of this original model that address supply chain coordination, quality improvement and yield management, and the impact of human error on production and inventory systems. In this paper, we summarize the current body of research that has extended the Salameh and Jaber (2000) EOQ model for imperfect items. Some possible future research directions are identified at the end of the paper.  相似文献

The purpose of this paper is to investigate the research development in supply chain risk management (SCRM), which has shown an increasing global attention in recent years. Literature survey and citation/co-citation analysis are used to fulfil the research task. Literature survey has undertaken a thorough search of articles on selected journals relevant to supply chain operations management. Meanwhile, citation/co-citation analysis uses Web of Sciences database to disclose SCRM development between 1995 and 2009. Both the approaches show similar trends of rising publications over the past 15 years. This review has piloted us to identify and classify the potential risk associated with different flows, namely material, cash and information flows. Consequently, we identify some research gaps. Even though there is a pressing need and awareness of SCRM from industrial aspect, quantitative models in the field are relatively lacking and information flow risk has received less attention. It is also interesting to observe the evolutions and advancements of SCRM discipline. One finding is that the intellectual structure of the field made statistically significant increase during 2000-2005 and evolved from passively reacting to vague general issues of disruptions towards more proactively managing supply chain risk from system perspectives.  相似文献
