Risk and Capital Structure in the Regulated Firm

This paper studies the role of capital structure in a regulated firm. We show that it affects the prices set by the regulator, the expected price being lower the higher the proportion of debt finance. However, when debt is increased beyond a certain level, the benefit of lower expected prices is offset by their increased variability. We also study the socially preferred capital structure. This is such that consumers carry some risk, in the form of higher prices in adverse economic conditions.

本文结合社会实际 ,论述了外部突发事件产生的原因和其特点 ,并指出企业应该建立一套应对外部突发事件的反应机制 ,以便能够在事后及时、准确地调整营销策略。然后根据营销学的 4P理论 ,从产品 (Product) ,价格 (Price) ,促销 (Promotion) ,地点 (Place)四个维度 ,给出了面对不同类型的突发事件 ,企业营销策略调整的思路和方法     

External cooperation and entrepreneurial orientation in industrial clusters

ABSTRACT

The aim of this paper is to examine the relationship between external cooperation and entrepreneurial orientation (EO). This relationship is explored in cluster environment, wherein entrepreneurial organizations compete and cooperate simultaneously to pursue opportunities. The following hypothesis is tested: External cooperation is positively correlated with entrepreneurial orientation. The hypothesis is tested with a correlation analysis on a sample of 77 small-sized enterprises operating in the Malopolska region in Poland, wherein several clusters are active. Additionally, the regression analysis is conducted to examine the associations between inter-organizational cooperation and EO dimensions. The findings confirm that external cooperation is positively correlated with EO. This observation is confronted with a pro-competitive approach that is a constitutional element of the entrepreneurship concept. Moreover, the findings show that the correlation between external cooperation and a firm’s performance is stronger than between some other EO dimensions and performance. Additionally, the findings show the important role of relationships between organizations and their clients. In the paper, several remarks for development of the theory are discussed, including the need for incorporating inter-organizational cooperation into a set of entrepreneurial traits and reflecting it in entrepreneurial orientation scales. The findings confirm the importance of that direction of theory development that focuses on inter-organizational collaboration in the context of entrepreneurship.

大股东资金占用与外部审计的公司治理职能

我国特殊的股权结构决定了我国上市公司的主要代理问题是大股东与中小股东之间的代理冲突。大股东往往通过各种方式如资金占用等来对上市公司进行掠夺。在西方成熟的资本市场上，审计作为一种独立的外部监督机制能够在一定程度上抑制代理冲突。那么在我国新兴的市场中，审计能否起到有效的监督作用从而抑制大股东的“利益输送行为”呢？本文从需求和供给两个方面进行了研究。实证结果发现，从需求方面来说，大股东资金占用越严重的公司越没有动机聘请高质量的审计师；从供给方面来说，审计师在出具审计报告时会考虑大股东的资金占用，大股东资金占用越严重，越有可能被出具非标准的审计意见报告。实证结果表明我国目前还不存在高质量的审计需求，但审计师能对大股乐的资金占用作出反应，从而在一定程度上抑制大股东的行为。     

论农地的外部效益与补偿

农地农用产生显著的外部效益．只有得到社会普遍的认知以及在经济上实现激励补偿才有助于农地的有效保护并持续供给．增进社会福利。本文详述了农地对全社会的外部效益．进而探讨了相应补偿的构想．最后提出了实施补偿的政策建议。     

关于商业银行贷款呆账准备金制度的分析

对贷款的会计处理和计提呆账准备金的实践是银行业管理和控制风险的基本要素,财政部已多次颁布了有关的管理办法。这些办法的出台对于商业银行防范和化解金融风险有着积极的意义,但也存在一些问题与不足。本文针对这些问题,结合国际惯例和我国实际情况,提出了改革和完善我国商业银行贷款呆账准备金制度的对策和建议。     

资源、环境与企业能力形成的机理研究——以物流企业为例的分析

基于能力理论，在研究企业能力体系的基础上，从内部资源与外部环境两个视角分析了企业能力形成的一般规律。并以物流企业为研究对象，分析了资源与外部环境对物流企业能力形成的作用机理。     

外债风险预警模型及中国金融安全状况评估

本文提出了一个用于预警一国外债风险的动态模型 ,即多元累计和模型。模型的用户 (债权人和债务国 )能很早地预测到可能导致债务国重订债务期限的金融危机。实证分析结果表明 ,模型具有提前 3年探测到债务国潜在的还债困难的能力。对中国经济金融安全状况的评估结果表明 ,模型可提前 1年发出预警信号。     

中国上市公司债权对公司绩效影响的实证研究

关于债权的治理效应，代理成本理论和控制权理论都认为，企业资本结构中一定的负债有利于公司治理效率的提高。本文以2002～2004年度沪市上市公司为样本（样本总量为2284组数据），对我国上市公司的债权治理效率进行了实证分析。结果表明，我国上市公司负债对其绩效有重要影响：债权比例与公司绩效在统计上呈显著的负相关关系，即上市公司的负债比例越大，其绩效也会越差，公司绩效与负债还存在着显著的二次关系，当资产负债率（DAR）为21．79％时，若其他条件不变时，债权对公司绩效促进作用最大，超过这一比例，债权与公司绩效呈负相关。本文对这一结果进行了原因分析，并提出了政策建议。
