风险投资与高新技术融合的技术转让体系研究

国内外研究现状表明,对风险投资与高新技术融合的技术转让体系的特殊性、体系组成、体系功能等方面的认识有待深化;对推动体系建设的外部条件、经济政策、政策工具的研究尚不充分。有鉴于此,笔者设计了中国风险投资与高新技术融合的技术转让体系,指出了其发育路径,研究了经济政策刺激、政策工具推动体系发育的作用。     

Dissipation of Knowledge and the Boundaries of the Multinational Enterprise

This paper provides a theoretical formalization of the joint-venture contract, as an alternative to foreign direct investment (FDI), within a Dissipation of Intangible Assets (DIA) framework. In a two-period model, we discuss how the threat of knowledge spillover shapes the boundaries of a multinational enterprise (MNE). Similarly to the theoretical findings on the FDI-licensing trade-off, we show that the integrated solution is more likely to emerge when know-how easily spills over—i.e., when firms are endowed with more intangible assets or they belong to high-tech industries. Probit estimates, from a new firm-level data set, show that Japanese manufacturing operations in Europe are in line with these predictions. JEL no. F23, C25, O5

Are joint venture partners more opportunistic in a more volatile environment?

This study examines how joint venture partners' opportunism is influenced by environmental volatility in a drastically changing emerging economy. Building on transaction cost and information‐processing theories, we develop the hypothesis that opportunism increases to cope with industry structural instability, information unverifiability, and law unenforceability, the three interrelated yet distinct characteristics that jointly describe environmental volatility in an emerging economy. Our analysis of 188 foreign joint ventures in an emerging market suggests that opportunism increases with information unverifiability and law unenforceability. These relationships are even stronger when joint ventures depend more on the host country environment, but weaker when joint ventures operate in faster‐growing industries. Finally, opportunism is found to play a mediating role in the relationship between environmental volatility and joint venture performance. Copyright © 2007 John Wiley & Sons, Ltd.     

Analysis on the integrated venture of corporate capital operation based on the venture coupling theory

The capital operation of an enterprise is an economical activity with mighty venture. Only identifying comprehensively all ventures of capital operation activities for the enterprise, can we set down more and more scientific and harmonious venture strategies to reduce and elude the capital operation venture. This paper firstly discusses the definition of capital operation venture for an enterprise and cognition towards the capital operation venture under the traditional risk management theory. Then it focuses on elaborating the fundamental theory of capital operation venture coupling based on the issues raised above, constructing the bran-new exhibit model for the integrating venture of enterprise＇s capital operation.     

我国国有银行改革的现状与对策分析

我国加入WTO后，随着金融业的进一步开放和国际竞争的加剧，存在于国有商业银行中的一些问题逐渐显现出来，如何应对国外银行业的冲击，保证我国银行业的稳定发展，已成为金融界研究的热点问题。     

科技成果转化对风险投资的促进机制研究--以福建省为例

风险投资是加速科技成果转化的催化剂,而科技成果转化也为风险投资的产生和发展提供了原动力。基于福建省科技风险企业和风险投资机构的问卷调查,实证分析了科技成果转化对风险投资发展的促进机制,研究结果表明参与科技成果转化,可以帮助风险投资机构积累管理经验、提高投资水平和风险管理的能力,但对风险投资机构拓展社会资源的作用较小。应加快发展科技中介机构、营造良好的从事技术创新活动的市场环境、引进和培养风险投资专业人才,以促进风险投资的发展。     

Bringing Political Skill into Social Networks: Findings from a Field Study of Entrepreneurs

The authors integrate the entrepreneurship literature's sociological and behavioural perspectives and examine the processes through which entrepreneurs first build social networks and then use the network resources for enhancing venture performance. Field interviews of entrepreneurs during a six‐month period reveal that political skill is an important individual‐level factor that influences the construction and use of social networks. Theoretical and practical implications of the major findings are discussed.     

大股东参与、定增并购主体关联与利益输送

定增并购的出现为追溯探讨定向增发的价值驱动性或利益输送性提供了新证据。本文采用2006—2013年交易数据对定增并购中大股东参与效果及其双主体关联性的经济后果进行实证检验。研究发现,大股东参与行为虽然短期内可能给市场传递涉嫌利益输送的不利讯号,但从长期看却能起到提升内部资本配置效率及公司价值的战略效能,且大股东参与程度越高,其提升效果越显著;进一步观察双主体差异性发现,只有大股东未参与时,定增主体关联度才与利益输送呈现正相关性,而并购主体关联度则以积极效应为主。由此不仅能够自然破除“大股东剥夺假说”,同时还可为定增并购的科学决策以及“全要素”监管模式的架构提供经验支持。     

民间资本投资黑龙江省银行业的有效模式及对策研究

近十年来,民间资本在黑龙江省各领域的利用情况日趋增多,发展潜力大。金融市场的投资环境改善,使得黑龙江省对民间资本的需求日益扩大。黑龙江省银行业可通过参股、合资、独资新设和兼并收购四种可行性模式吸收民间资本,黑龙江银行业应健全相关法律法规,加大财政扶持倾斜力度,使民间资本合法有序、稳健顺畅地进入银行业;建立风险防控和组织管理机制、完善信用评估体系,使民间资本安全可控、益于公众;创新银行业务服务,优化金融文化环境,为民间资本开辟新天地,并使其获得长效发展,从而强化黑龙江省银行业融资结构,促进全省经济增长。
