This study evaluates the impact of institutional factors and innovation on the export performance of firms, from the assumption that the basic institutional framework of a country affects the export performance of firms through three transmission mechanisms: innovation, modes of entry to foreign markets, and network. The study comprises a qualitative, multicase study of five firms in the metalworking industry in the state of Santa Catarina (southern Brazil). The results of the study show the limitations of the institutional framework of the country of origin, particularly in terms of stimulating innovation in firms. On the other hand, the study points to strong evidence of the role of networking as a critical factor in determining the performance of innovation activities and export performance. Specifically, the findings highlight foreign-established networks, especially in regard to customers to drive innovation, and distributors to expand participation in markets. Finally, in terms of the effect of the institutional framework on the selection of internationalization strategies, for the cases studied, the findings suggest that the institutional frameworks of destination countries seem to exert greater influence than do the institutions of the country of origin.  相似文献

In this paper we report on our investigation into whether the level of target managerial ownership has an effect on acquisition financing choice and target CEO job retention. We find that cash is more likely used to finance acquisitions when target management ownership levels are high. This result is consistent with a reduced monitoring hypothesis, where bidding firm managers seek to avoid the formation of a large block holder that may become an active monitor. We also find evidence specific only to stock deals that the probability of target CEO job retention increases with the level of target managerial ownership. In these cases, it appears the potential benefits associated with retaining certain target managers outweighs any negative consequence associated with creating a new monitoring block.  相似文献

We examine how managerial motives influence the choice of financing for a sample of 209 completed mergers from 1981–1988. Our evidence indicates that bidding firm management is more likely to finance mergers with cash when target firm ownership concentration is high, preventing the creation of an outside blockholder. This suggests bidding firm managers prefer to keep ownership structure widely diffused to reduce external monitoring. We also find that bidding firm management is more likely to finance mergers with stock when the variance of bidding firm's stock return is high. This suggests managers of risky firms prefer leverage‐reducing transactions to reduce their personal risk.  相似文献

This study examines the relationship between various financial inclusion measures and banks' performance across multiple countries with varying institutional, regulatory and income levels. To construct an aggregate bank performance index, we employ principal component analysis, which utilises a set of critical indicators summarised by the CAMEL rating system, including banks' solvency, asset quality, efficiency, profitability and liquidity. Our primary findings indicate that different measures of financial inclusion exhibit varying associations with bank performance. Specifically, there is a trade-off between bank performance and credit deepening, especially in high-income nations. Conversely, in low-income nations, higher financial inclusion, measured by deposits to GDP, number of deposits, and number of borrowers, does not affect bank performance adversely. Banks in low-income nations could achieve significant gains by improving financial access and enhancing regulatory environments.  相似文献
