One main problem with both acquisitions and alliances is separating the attractive partners from the rest. An additional problem with alliances is getting each partner to provide its best assets and efforts. One solution offered for the acquisition adverse selection problem is due diligence through a pre-acquisition alliance; however, none of the papers recommending such an approach analyze the alliance adverse selection and moral hazard problems. This paper presents the first formal model of joint venturing as acquisition due diligence, detailing how the joint solution works and under what conditions.revised version received October 20, 2003 相似文献

Crisis management can be simultaneously a content specific problem solving process and an opportunity for stimulating and enabling an organizations ethical tradition. Crisis can be an opportunity for ethical organizational development. Kierkegaardian upbuilding dialog method builds from within the internal ethical tradition of an organization to respond to crises while simultaneously adapting and protecting the organizations tradition. The crisis itself may not be a directly ethical crisis, but the method of responding to the crisis is built upon the ethical foundations of an organizations tradition. A limitation of this method is that it may be less applicable to organizations with questionably ethical traditions. The concept of upbuilding dialog is derived from Kierkegaard, but here is applied to organizational crisis management. The method is illustrated and discussed in the context of a wrongful death crisis of the Dana- Farber Cancer Institute, a nonprofit organization, and an economic survival crisis at Ben and Jerrys, a business organization. 相似文献

Countries in Africa are increasingly becoming similar in outlook, especially as regards monetary policy. With a view to conducting a long‐term study of monetary policy in Africa, we apply an empirical test for the coherence of inflation targeting, first conducted by Nell (2003 ) for South Africa, to data from Rwanda. We find that like South Africa, Rwanda has a stable money demand function and the adoption of an inflation target is a wise policy option. Also, the Rwandan money market needs just over five quarters to eliminate half of any monetary disequilibrium. These results are of some interest to economists and policy makers for all the countries in the increasingly interconnected continent of Africa. 相似文献

In a recent paper Helpman, Melitz and Yeaple argue firm heterogeneity leads to self-selection in the structure of international commerce. Only the most productive firms find it profitable to meet the higher costs associated with FDI; the next set of firms finds it profitable to serve foreign markets through exporting; while the least productive firms serve only the domestic market. The paper tests this assumption using the concept of stochastic dominance. Robust support is found for the model, the productivity distribution of multinational firms is found to dominate that of export firms, which in turn dominates that of non-exporters. JEL no.
