企业转让制度之比较研究

企业转让是指为了一定的营业目的通过签定合同将企业作为一个有机组织体的全部财产或部分重要财产进行有偿转让的活动。它是企业的所有权在不同的市场主体之间的移转,既不同于货物买卖也不同于企业财产的转让。企业转让制度在《德国商法典》、《日本商法典》和《韩国商法典》中都有专门规定,但在《澳门商法典》中规定的更为全面,主要涉及商号、债权债务关系、竞业禁止和劳动关系内容。建立企业转让制度是市场经济的内在体现,对我国发展经济和解决就业有着重要的现实意义,同时也符合我国建立现代产权制度的要求。     

Modified efficient importance sampling for partially non‐Gaussian state space models

The construction of an importance density for partially non‐Gaussian state space models is crucial when simulation methods are used for likelihood evaluation, signal extraction, and forecasting. The method of efficient importance sampling is successful in this respect, but we show that it can be implemented in a computationally more efficient manner using standard Kalman filter and smoothing methods. Efficient importance sampling is generally applicable for a wide range of models, but it is typically a custom‐built procedure. For the class of partially non‐Gaussian state space models, we present a general method for efficient importance sampling. Our novel method makes the efficient importance sampling methodology more accessible because it does not require the computation of a (possibly) complicated density kernel that needs to be tracked for each time period. The new method is illustrated for a stochastic volatility model with a Student's t distribution.     

Financial Policy in Practice: Benchmarking Financial Sector Strategies Around the World

Policy makers use financial sector strategies to formulate a holistic policy for the national financial system. This article examines and rates financial sector strategies around the world on how well they formulate development targets, arrangements for systemic risk management, and implementing plans. The strategies are also rated on whether they consider policy trade-offs between financial development and systemic risk management. The rated strategies are then benchmarked against a range of country characteristics. The analysis finds that the scope and quality of national strategies for the financial sector are systematically influenced by several country characteristics. Interestingly, policy trade-offs, particularly between financial development and systemic risk management, are not adequately considered in the strategies.     

Financial Imbalance Index as a New Early Warning Indicator： Methods and Applications in the Chinese Economy

Based on the stylized facts of financial crises and systemic risk accumulation, this paper constructs a new financial imbalance index （FII） from the perspective of endogenous financial cycles and assesses its application in China＇s macro-financial analysis. The results show that the FII is not only an effective index to detect financial imbalances in China＇s economic cycles, but is also more accurate than and plays more of a leading role than conventional indicators, such as the consumer price index, the financial conditions index and the purchasing managers indicator. Empirical analysis shows that the FII can be used as an effective indicator to measure systemic financial risk, and can provide policy-makers and market participants with useful information to make appropriate decisions.

本次震撼全球的美国金融危机给世人敲响了金融危机不定时爆发的警钟。全球化背景下金融危机的传染性更强、金融风险更大。中国相对脆弱的金融体系需要探索如何防范金融系统性风险,如何健全金融监管体系的制度与法制建设。随着人民币国际化过程深入,制定并颁布《金融危机法》能克服目前金融监管纵向监管体系缺陷,对提高我国金融监管机构应对金融危机能力、稳定金融市场与保增长具有重要意义。
