Mechanisms for controlling expenditure in the Spanish Royal Household, c.1561-c.18081

The purpose of this article is to examine the accounting and auditing in the Spanish Royal Household between 1561 and 1808. The Royal Household was the third most important item of expenditure that the State Treasury financed, after the Army and Navy and the National Debt. On studying spending control in the Royal Household, we have rejected the idea, often advanced by historiography, that there was no spending control within this institution. On the contrary, treasurers and accountants were only able to release funds for expenditure purposes on the basis of prior authorization. However, the efficiency of spending control was very limited due to technical, administrative and, above all, social and political elements.     

企业家政府理论的理论局限及启示

企业家政府理论是20世纪90年代以来所兴起的国际化政府改革潮流的最主要和直接的理论依据,它对中国的行政理论研究和改革实践产生了巨大的影响。考察企业家政府理论的实质具有重要意义,对其有必要进行理论审视和重新认识。企业家政府理论有三个方面的理论局限：一是普遍实用性的缺失；二是价值理性的缺失；三是基本概念的不确定性。通过对企业家政府理论进行深入考察得出几点启示：一是坚持理论与实践的统一；二是坚持工具理性与价值理性的统一；三是对坚持继承与创新的统一。

控制权转移、民营化与财务报告质量:相关研究评述与启示

随着我国资本市场的发展和国有资本的战略性退出,控制权转移的上市公司在数量和比例上进一步增加,尤其是大量国有企业转变为民营企业。如何评价控制权转移后财务报告质量变化,以及如何提高中国企业民营化趋势中财务报告质量,具有重要的现实意义。本文对国内外关于所有权转移的研究成果尤其是国有企业民营化研究进行了简要的回顾与评述,并提出了在此领域后续研究应当关注的问题,以期对我国研究民营化对财务报告质量研究提供参考。     

Private benefits from control block trades in the Spanish stock exchange

A control block trade can be explained by the expectation of financial gains, shared by all shareholders, or by the expectation of private benefits, exclusive to the buyer and possibly at the expense of other shareholders’ rents. The market for corporate control contributes to social welfare when it improves the efficiency of the allocation of resources. When the objective of a block transaction is private benefits, social welfare may be negatively impacted as minority shareholders could withdraw from the market. Therefore the estimation of private benefits would allow the efficiency of the market for corporate control to be assessed. Specifically, the aim of this paper is to calculate private benefits in the Spanish market for partial control. Using a sample of partial control transactions over the period 1990–2016, we find that the median of private benefits is negative, therefore it appears that there is no inefficient use of resources in the Spanish partial control market as a whole, however private costs are detected. The variability of private benefits is explained in a significant way by variables related to the control structure of the target firm, such as the controlling position of the buyer after the transaction, the contestability of control and the cross-shareholdings between the buyer and large shareholders. Performance and the size of the firm are significant as well.

Organizational governance and TMT pay level adjustment

This paper analyzes how the characteristics of boards and structure of ownership moderate a firm's capacity to adjust top management team (TMT) pay levels in the face of changes in its economic and complexity conditions. Using panel data from Spanish listed companies between 2003 and 2007, the results indicate that, over time, characteristics of corporate governance system contribute to give a fundamental importance to boards and ownership structure in the determination and adjustment of TMT pay. These associations appear to be even stronger than those that in other Western European and North American countries. Both the Spanish cross-holding and concentrated firms' ownership structure, and socially intervened boards play a major role in the high levels of pay received by the TMT, which, in turn, reflect a moderate adjustment of compensation practices to variations of surrounded environment factors.
