关于修改我国公司法的几个基本问题

公司法作为商法的基本组成部分,在市场经济体系中占有非常重要的地位。本文结合我国的社会经济实践,对我国现行公司法的修改和完善从公司法的指导思想、立法原则、体系安排、法律形态选择等角度提出了建议,认为公司法的制定应充分反映市场经济的基本要求和本质内涵,应反映世界公司法发展的先进成果和经验。     

Is more better? The relationship between meeting space capacity and hotel operating performance

This study examines the effect of meeting space capacity on hotel operating performance. We use Resource-Based View (RBV) of the firm as the theoretical foundation. We employ a national-level dataset with more than 20,000 hotels in the United States for the 2007–2012 period. We find that meeting space has a non-linear effect on hotel operating performance. That is, at low levels of meeting space, meeting space capacity is negatively related to hotel operating performance. At high levels of meeting space, meeting space capacity has a positive influence on operating performance. These findings provide insights for hotel owners, developers and practitioners in planning hotel meeting space capacity.

Making a Usage Decision About a Building in a Historic Community

Abstract

Edenton, North Carolina is one of the oldest communities in the Southeastern United States. A decision needed to be made about usage for a publicly-owned, non-historic building on some prime real estate that was located on the edge of the Albemarle Sound and in the city's historic district. An advisory panel of experts was assembled. The panel was given background on the city and the building in question and then taken on an extensive tour of the area, including the building. The panel was then asked a series of questions in a public forum. Their answers were compiled and a qualitative factor analysis was performed on their question-replies. A number of directions were suggested including turning the building into a meeting center, a museum, and a support building for an existing public dock for tourist boats. The results of this process are presented in this paper.

Hadfields Ltd: its annual general meetings 1903–1939 and their relevance for contemporary corporate social reporting

Little attention has been given to studies of the historical antecedents of corporate social reporting (CSR). The paper looks at the disclosures made by Hadfields Ltd and other British companies at the beginning of the 20th century, and finds that these included topics such as economic, political and industrial relations conditions, in a style analogous to that employed in CSR reporting today, during periods of difficulty and conflict for the reporting companies. The paper concludes that these findings support the argument that CSR may be less a reflection of a new relationship between companies and society than another form of what Milne calls ‘advocacy advertising’.

Conversational use of genres in managerial meetings

This article addresses the question of how the concept of genre, defined as a linguistically realized activity type, can be applied to the study of organizational discourse. In particular, the authors show how and for what practical purposes managers invoke genres in meetings. The data of the study consist of video-recorded company-internal meetings and the methodology is based on ethnomethodological conversation analysis. In the empirical analysis the authors show how genres are used as resources for joint understanding and for conducting a particular conversational action in a meeting, namely proposing a solution to a problem. The study highlights the importance of genre knowledge in managerial meetings and the practical nature of this knowledge.     

Meeting planners’ use and evaluation of convention and visitor bureaus

The MICE industry represents one of the fastest growing segments of the tourism industry. Yet, it is only in recent years that the economic contribution of this industry segment has been recognized and the relationships among the various industry players have been examined in more depth. This study focuses on the relationship between meeting planners and convention and visitor bureaus (CVBs). Results of the study indicate that association meeting planners utilize CVBs more frequently than corporate planners. Meeting planners mainly use free rather than fee-based CVB services, with destination information and referral services being the most popular. The desire to deal directly with suppliers represents the major reason for meeting planners bypassing CVBs in their convention/meeting planning. Implications of the study results are discussed.
