| 摘 要： | 剥离性资产重组作为收缩性资产运营的一种重要方法,在公司重组中发挥了日益重要的作用,引起了社会的广泛关注。资本市场作为剥离性资产重组重要的外部条件之一,却存在着诸多缺陷和不完善之处,表现出了不完全性。因此,如何促进不完全资本市场和剥离性资产重组的共同发展就成为实践领域和理论界关注的焦点问题。
