对我国大债权人介入公司治理的探讨

笔者从债权人参与债务公司治理的前提条件的分析入手,试图建立一个理论分析框架并根据基本框架分别运用了规范和经验的研究方法,对我国目前大债权人———银行介入公司治理的现状进行梳理和分析,得出了目前我国银行尚不具备介入公司治理的条件的结论。

A Probe into Big Creditors' Involvement in Enterprise Governance of Our Country

The author attempts to establish a theoretical analysis framework through an analysis of the the premises for creditors to take part in the governance of companies in debt,and on the basis of the basic framework,using respectively the research methods of norm and experience,the author outlines and analyses the present situation of big creditors,i.e.the banks involving in corporate governance,and comes to the conclusion that at present the banks in China cannot meet the requirements for involving in corporate governance.
