WTO与中国公司法律制度的完善

加入世贸组织,对中国的法制建设提出了更高的要求,加入世贸组织后,中国公司法也急需修改和完善。从创造平等的竞争环境入手,对公司设立条件、中小股东利益保护及监督权的完善进行探讨,并对我国公司法人治理提出建议,以期建立符合市场经济和国际惯例的法律制度。

WTO and the Perfection of Chinese Corporate Law

China's WTO entry raises a higher claim to the construction of our law system. So does the revision and perfection of corporate laws. Proceeding with creating the equal competition environment, the paper concentrates on the condition of the company's establishment, the protection of the stockholders' benefits and the perfection of the supervising droit. The suggestions are given on the governing of judicial person in order to set up the legislative system adapted to market economy and international practices. This paper is intended to probe into the perfection of the corporate law after the WTO entry.
