| 摘 要： | 董事的薪酬结构分为董事薪酬的内容结构和董事薪酬的支付结构。董事的部分薪酬水平由董事的薪酬结构决定,董事的薪酬结构比董事的薪酬水平更具有激励效应。通过分析美国纳斯达克(NASDAQ)和美国证券交易所(NYSE)2003～2005年的非雇员董事薪酬结构的变化,总结美国非雇员董事的薪酬结构变化趋势,从中得到一些有意义的启示。

| Abstract: | Director's compensation structure includes two parts.One is the structure of compensation content,the other is the structure of payment way.The level of a director's compensation is decided by his compensation structure partly,the latter have more incentive effect than the former.Based on the data of non-employee director compensation on NASDAQ and NYSE of 2003,2004 and 2005,the trend of its changes is analyzed and some illuminations for China are revealed. |
