我国公司治理结构的法律思考

公司法人治理结构是公司制的核心 ,如何建立和完善公司法人治理结构是目前我国国有企业产权改革的热点和难点。本文首先从理论上分析了我国公司治理结构应包括公司治理制度和公司治理机制两种 ,阐明了法治是公司治理结构的基础 ;其次剖析了我国公司制改造中公司治理结构存在的所有者代表、激励机制、新老三会关系、“股东至上主义”等问题 ;最后 ,在分析基础上提出应建立规范有效的适合我国国情的公司法人治理结构。
