| 摘 要： | 我国《合同法》确立表见代表制度是为了保护交易的安全,但却不可避免地加剧了企业所承担的企业法定代表人、负责人道德风险。文章通过分析表见代表制度给我国企业带来的风险,指出企业应当重视完善公司法人治理结构。

| Abstract: | Our countrys contract law establishes the representative by estoppel system to protect transaction safty,but it unavoidably aggravates the moral risks of legal representative and person in charge assumed by enterprises.Via analysis of the risks brought to our countrys enterprises by representative by estoppel system,this paper pointed out that the state should perfect the law concerned,and attach imporatance to the perfection of administration structure of the corporation. |
