| 摘 要： | 为规范商业银行抵硝权的行使，维护客户及第三人的利益，商业银行法定抵艄权制度应从其行使条件、行使限制及行使程序方面予以明确，为我国商业银行与客户间的约定抵销权提供一般性规则参考，从而使商业银行与客户的利益关系趋于平衡。

| Abstract: | In order to standardize the exercise of right of set-off and protect the customers＇ interests, perfect system of commercial bank＇s legal right of set-off should definitely include the conditions of exercise, the restrictions of exercise and the procedure of exercise. So thai： it can provide the reference to commercial bank＇s agreed right of set-off between commercial banks and austomers. What＇ s important, the relationgship of interests between commercial banks and customers can be balanced greatly. |
