| 摘 要： | 公司治理机制是现代企业制度中最重要的架构,中国上市公司治理机制存在着内部治理结构不合理、外部结构不完善等缺陷和问题,完善上市公司治理机制应当适度减持国有股比例、完善董事会机制、完善经营者激励机制等应对措施。
