| 摘 要： | 如何处理国有企业老三会与新三会的关系,是其改制能否成功的关键所在,而这个问题的核心是如何处理职代会与股东会的关系。在改制的过程中,职代会的地位不仅不应该削弱,反而应该加强,与股东会可有机结合并完善具体的操作程序与方法。
