| 摘 要： | 国有商业银行上市是我国经济转轨、金融市场化的一个重要组成部分，是国有大型企业进行公司治理结构调整的一个主要手段，是一种典型的产权制度变迁。作为一种新制度的设计与安排，在实际的执行过程中将不可避免会面临着诸多的困境和难题，特别是制度变迁与移植中固有的隐性风险，将是国有商业银行上市改造中容易被忽视的问题。

| Abstract: | Listing of state-owned commercial banks is an important part of China's economic transition and financial marketization, which is an important means of adjusting corporate governance and a typical property right institution shift. As a new institutional design and arrangement, it is inevitably faced with many problems during its implementation. The disguised risk in institutional transition and transplant is easy to ignore in the listing reconstruction of state-owned commercial banks. |
