| 摘 要： | 企业制度创新是一种效率更高的企业制度替代旧企业制度模式的过程。企业制度是社会经济制度的微观基础，它的创新必然引起社会经济制度的变化。与民营企业制度从个体、合伙到家族制企业、公司制企业的自然演变不同，国有企业制度的创新是政府在对制度创新的目标模式有限理性基础上提供的制度安排，并通过政策与法令而实施的强制性变迁。
