民营企业法人治理结构的领导学原则研究

江泽民同志在十六大报告中指出，要“继续实行规范的公司制改革，完善法人治理结构”。因此，研究法人治理结构已成为重大的理论任务。该文从一个特定的视角，即通过对照领导科学原理中党的领导的原则、领导效能最大化原则、统筹兼顾原则、效益最大化原则、领导班子结构优化原则，从领导科学与经济交叉研究的角度揭示出传统公司治理结构中存在的深层次问题。

A Study on the Principles of Leadership of the Legal Person Governance Structure of Private Enterprises

Comrade Jiang Zemin proposed in the 16th convention report that the standard reform of the system of corporations be continued and the legal person administrated structure be perfected. Therefore, it has been a major theoretical task to study the legal person administrative structure. From a particular angle, this paper revealed the deep founded problems in traditional corporations' administrative structure by comparing those principles in leadership science known as the Party's leadership, the maximization of leadership's efficiency, the overall consideration, the benefit maximization and the optimization of leaders group.
