| 摘 要： | 企业的资本总的来说分为物质资本和人力资本，而企业家人力资本是现代企业中最重要和最稀缺的人力资本，对于企业的生存和发展起到决定性作用，其产权特征决定了必然要分享企业剌余控制权和剌余索取权。人力资本与物质资本的关系一直是经济学者们关注的热点问题。本文在现有研究成果的基础上，利用博弈理论工具，对这一问题进行更进一步地探讨。
