摘    要:“排异”是现代企业制度引入国企后产生的普遍现象,其结果严重制约了现代企业制度的建设及其作用的发挥,甚至使其流于形式.“排异”现象的原因主要有三个方面:现代企业制度对国企外部环境的不适应性;原企业制度中的消极因素对现代企业制度的“全面攻击”;新旧治理机制融合的难度.克服国企现代企业制度建设中的“排异”现象需要从完善市场环境、创新企业文化、规范国资委职能、理顺新旧治理机制关系和改革经营机制等方面努力.

Abstract:"Exclusion" is a common phenomenon which generates after the modern enterprise system is introduced into State-owned enterprises, which hinder the construction of modern enterprise system and the exertion of its function ,even cause it a mere formality. There are mainly three factors which are contributing to this "exclusion" phenomenon: the maladjustment of modern enterprise system to the outer environment of state-owned enterprise; the "overall attack" on modern enterprise system of former enterprise system 's negative factors; the difficulty of the combination of the new and old administration system. To overcome the " exclusion" phenomenon in the state-owned modern enterprise system construction, we need to make great efforts on the following aspects: innovating enterprise culture, standardising the function of State-owned Assets Supervision and Administration Commission , settling down the relationship between the new and old administrative organizations and reforming management system and so forth.
