意思自治与法律行为涉他效力的模式选择

在利他法律行为的涉他效力问题上，存在契约与单方行为两种不同的模式，前者一概地拒绝承认法律行为可以具有涉他效力。后者认可利他法律行为可以产生直接的涉他效力。单方行为模式能够克服契约模式的弊端，但是也存在可能违背意思自治原则的缺陷。修正的单方行为模式，承认利他法律可以具有涉他效力，但是通过赋予受益人以拒绝权的方式，尊重其意思自治。这一模式建立在对意思自治原则重新阐释的基础之上，是处理利他法律行为的涉他效力问题的恰当模式。

Private Autonomy and the Model Choice of Legal Behavior's Third-party Effect

There are two traditional models on third-party effect of legal behavior,namely,contract model and unilateral behavior model.The former refuses to recognize that legal transaction can produce third-party effect and the latter approves that legal behavior of third party beneficiary can generate direct third-party effect.Unilateral behavior model can make up for the drawbacks of contract Model,but also has some shortcomings.The revised unilateral behavior model recognizes that legal behavior of third party beneficiary can generate direct third-party effect,and respects private autonomy by giving the beneficiary the refusal right at the same time.The revised model based on the re-interpretation of the substantial of private autonomy is a proper model to deal with third-party effect of legal behavior.
