| 摘 要： | 国家开发银行的转制一直是学术界争论的热点。近期，“全面推行商业化运作”成为转制的最终方向。然而改制后的国家开发银行是否等同于商业银行以及其是否具有特殊的性质和职能依旧是值得研究的课题。根据国家开发银行的特征，从不同角度与商业银行进行比较研究，阐明改制后的国家开发银行在经济社会职能，经营目标，信用基础以及治理模式方面仍具有特殊属性。
