| 摘 要： | 国有企业改革是建立和巩固社会主义市场经济体制的重中之重 ,国有企业推行公司制改制是建立现代企业制度的基本形式 ,公司治理结构是公司制的核心。文章分析了典型的公司治理结构的特征和工勘企业改制后法人治理结构现状 ,认为因“企业内部人”的控制而没有形成有效的法人治理结构 ,并提出了完善法人治理结构的对策。

| Abstract: | SOE reform is the core factor for building and consolidating the socialist market economic system. Carrying out restructuring in company is the basic way for building the modern enterprise system in SOE, while the improvement structure is the core part. The paper gives an analysis on typical improvement structure and the situation of legal improvement structure after being re-organized according the modern corporate system in industrial and geological prospecting enterprises; and the fact that because of the control of "internal person of enterprise", effective legal improvement structure has no formed. On this ground, the paper puts forward some methods for perfecting the structure. |
