| 摘 要： | 在分析我国上市公司独立董事制度存在的问题及成因的基础上，提出了完善上市公司独立董事制度的建议：完善独立董事相关法律法规，明确独立董事职责；完善独立董事培训和行业管理体系；建立和健全独立董事的生成和退出机制；建立健全独立董事的激励机制。
